What the Seller Client Information Request Is

The Seller Client Information Request is a standardized form used to collect a seller's essential details before a sale or closing. It typically gathers legal name, contact information, taxpayer identification, property or asset description, ownership evidence, signing authority, and instructions for closing or funds disbursement. The document supports identity verification, tax reporting, title preparation, and coordination with closing agents or brokers. When executed electronically it may rely on ESIGN and state UETA rules; when required, notarization or witness statements are noted in the form.

Why a Clear Seller Client Information Request Matters

A Seller Client Information Request centralizes seller data, reduces errors, and speeds closing preparations. It clarifies tax and ownership questions early, helps avoid last-minute delays, and creates a consistent record suitable for electronic signing and audit trails under ESIGN and state law.

Why a Clear Seller Client Information Request Matters

Who Typically Completes This Request

Real estate brokers, title companies, closing agents, attorneys, and sellers use this request to gather necessary pre-closing information.

  • Individual sellers and trusts providing ownership and tax details to closing parties.
  • Real estate brokers and agents collecting standardized seller data for listings and offers.
  • Title companies and closing attorneys verifying identity, vesting, and document readiness for settlement.

Completed requests reduce rework and support electronic workflows; retain copies according to tax and records retention rules.

Common Signer Profiles and Their Responsibilities

Individual Seller

An owner signing on their own behalf must provide full legal name, SSN or EIN if required, current mailing and settlement addresses, and government ID. Accurate TIN information prevents backup withholding and ensures correct tax reporting.

Authorized Representative

A broker, attorney, or corporate officer signing for a seller must attach proof of authority such as power of attorney, corporate resolution, or agent authorization, and include the representative's contact and license information.

Essential Elements to Include in a Professional Request

A professional Seller Client Information Request organizes required data, verifies identities, and prepares documents for closing while accommodating electronic signatures and optional notarization.

Contact Details

Collect full legal name, preferred phone number, email address, and mailing address. Include alternative contact and best times to reach to facilitate communications during title review and closing coordination.

Tax Information

Request taxpayer identification (SSN or EIN), W-9 completion status, and backup withholding notices. Accurate TIN data avoids IRS penalties and prevents unnecessary withholding at closing.

Ownership Proof

List deed reference, prior recording details, and copies of title documents. Attach recorded deed or evidence of vesting to speed title examination and clear defects before closing.

ID Verification

Specify required ID types and upload instructions; include a checklist for driver's license, passport scans, and title company verification steps to confirm seller identity.

Signature Blocks

Designate signers, provide signature lines for each party, and include date fields. Note when notarization or witness signatures are required by jurisdiction.

Attachments Checklist

Enumerate required supporting documents such as power of attorney, corporate resolutions, prior conveyance documents, and tax or settlement instructions.

Optica Ventures

Common Mistakes to Avoid

  • Incomplete taxpayer identification or mismatched names between seller and TIN cause payers to withhold and delay closing paperwork, increasing administrative burden and potential penalties.
  • Uploading illegible scans or low-resolution IDs prevents verification; request clear color scans of identification and proof of ownership to avoid rejections during title checks.
  • Failing to state vesting clearly (for example joint tenancy vs tenants in common) can create title ambiguity that requires correction before funds disburse.
  • Omitting supporting authorizations such as power of attorney or corporate resolutions leads to signature challenges and may require notarization and additional legal review.

Penalties and Risks from Incorrect or Missing Information

Delayed Closing: Missing data stalls settlement.
Backup Withholding: Incorrect TIN triggers 24% withholding.
Title Defects: Unclear vesting causes delays.
Privacy Breach: Unauthorized disclosure risks HIPAA/CCPA issues.
Invalid Authority: Signer without power voids actions.
Tax Penalties: Late or incorrect reporting penalties.
