What the Seller Concession Addendum Template Is

A Seller Concession Addendum Template is a short contractual attachment used in residential real estate transactions to record agreed concessions the seller will provide toward the buyer’s closing costs, prepaid items, interest-rate buydowns, or repairs. It clarifies the concession amount, how it will be applied at closing, any lender or appraisal conditions, and the effective date. The addendum becomes part of the purchase agreement or is attached to it, and must be consistent with lender guidelines and state recording/notarization rules to avoid closing delays or funding denial.

Why a Clear Addendum Matters for Closing Certainty

A concise addendum reduces ambiguity about funding sources at closing, helps lenders underwrite reliably, and documents mutual obligations between buyer and seller. Clear terms limit post-contract disputes and avoid last-minute changes that can derail settlements.

Why a Clear Addendum Matters for Closing Certainty

Who Typically Prepares and Signs This Addendum

The Seller Concession Addendum is used by parties and professionals directly involved in a residential sale to document concession details before closing.

  • Listing agents and brokers — Draft and attach the addendum to the purchase contract for client approval and lender review.
  • Sellers and seller representatives — Confirm concession amounts, limits, and conditions to ensure correct net proceeds calculations.
  • Buyers and lender representatives — Verify concession application and compliance with loan program limits and appraisal rules.

Proper coordination among agents, sellers, buyers, and lenders reduces the risk of underwriting exceptions and unexpected closing delays.

Core Elements to Include in a Professional Addendum

A complete Seller Concession Addendum organizes obligations, allocation rules, limits, and contingency handling so lenders and title companies can close without confusion.

Parties

Identify buyer(s) and seller(s) by full legal name and reference the underlying purchase agreement to ensure the addendum attaches to the correct contract and parties.

Property Description

Provide the full street address and any unit or parcel identifier so title and lender searches match the transaction record exactly.

Concession Amount

State the precise dollar figure or percentage cap, whether cumulative with other credits, and how the amount will appear on the settlement statement.

Use of Concession

Specify the permitted uses (closing costs, prepaids, HOA fees, interest buydown) and identify any prohibited uses per lender policy.

Conditions and Contingencies

Include conditions such as lender approval, appraisal results, inspection repairs, or prorations that affect whether or how the concession will be paid.

Execution and Dates

Provide signature lines, printed names, and an effective date. Note whether execution by electronic signature is accepted and how duplicate originals are handled.

Step-by-Step: Completing the Seller Concession Addendum

  • 03
Note Conditions: List lender/appraisal contingencies and inspection links.
  • 04

Digital Signing and Platform Considerations

Choose a platform that supports secure eSignatures, audit trails, and the integrations your closing team uses.

  • Integration Options: Salesforce, Microsoft 365, Google Workspace integrations
  • File Formats: Accepts PDF, DOCX, and fills form fields
  • Authentication Levels: Email, SMS, or advanced signer verification

Confirm the chosen solution supports lender requirements (audit trail, tamper-evidence) and the ability to export executed copies for title and loan files.

Typical Electronic Submission Flow for the Addendum

This is a common, lender-friendly sequence for preparing and circulating the addendum electronically.

  • Upload Document: Upload the addendum to your eSign platform.
  • Place Fields: Add signature, date, and amount fields.
  • Send to Signers: Set signer order and send the signing link.
  • Distribute Executed Copy: Automatically send final PDF and audit trail to lender and title.

Key Timing Considerations Around the Addendum

Timely execution and delivery to lender and title are critical to avoid underwriting exceptions or closing delays.

Execution Before Closing:

Complete and sign prior to the scheduled closing date.

Lender Review Window:

Allow lender processing time — commonly 3–5 business days for review.

Appraisal/Inspection Timing:

Submit concessions before appraisal or post-inspection repair agreements.

Title Preparation:

Provide final executed addendum to title for settlement statement updates.

Last-Minute Changes:

Avoid revising within 24–48 hours of closing to prevent funding holds.

Milestones From Agreement to Closing

Track these milestones in sequence to manage dependencies and approvals.

01

Agreement Signed

Buyer and seller execute the purchase agreement and authorize concessions.

02

Addendum Prepared

Addendum drafted and reviewed by agents or counsel.

03

Lender Approval

Lender confirms concession complies with program rules and appraisal.

04

Final Closing

Concession applied on the settlement statement at funding.

Common Pitfalls That Cause Rework or Delays

  • Ambiguous wording about the concession’s intended use leads to lender clarification requests and settlement delays.
  • Mismatched party names or property descriptions cause title or funding exceptions requiring corrected documentation.
  • Failing to obtain lender pre-approval for certain concessions (e.g., large buydowns) can result in funding denial.
  • Submitting the addendum after final closing documents are prepared forces reissuance of closing statements and possible rescheduling.

Short Summary of Potential Consequences

Lender Rejection: May delay or deny funding
Closing Delay: Settlement date may be postponed
Appraisal Impact: Excess concessions can affect value calculations
Tax Treatment: Improper reporting risk for parties
Contract Breach: May trigger remedies under purchase agreement
Misstatement Liability: Material misstatements can have legal consequences
