What a Seller Condition Agreement Is and When it Applies

A Seller Condition Agreement documents the condition, disclosures, and any seller-provided warranties or concessions for goods or real property at the time of sale. It records known defects, required repairs, and the seller's representations about condition, and allocates responsibilities for cure, inspection, and closing adjustments. In transactions involving real property, the agreement typically accompanies purchase contracts and state-mandated disclosure forms; for goods, it supplements a bill of sale or purchase order. The document creates contract terms used to resolve post-closing disputes.

Why a Clear Seller Condition Agreement Matters

A precise agreement reduces post-closing disputes, clarifies seller obligations, and preserves remedies for buyers and sellers. It creates a written record that supports enforcement, insurance claims, and title or quality adjustments.

Why a Clear Seller Condition Agreement Matters

Who Typically Prepares and Signs a Seller Condition Agreement

Signatory roles should be specified in the document and matched to identification used at signing to avoid ambiguity.

  • Sellers and listing agents responsible for disclosing known defects and completing condition checklists for the record.
  • Buyers and buyer agents who inspect, accept, or negotiate repairs, credits, or contingencies before closing.
  • Title companies, closing attorneys, or escrow officers who integrate the condition statement into closing packages and settlement statements.

Core Elements to Include in a Professional Seller Condition Agreement

A comprehensive agreement organizes disclosures, inspection results, repair obligations, cure timelines, allocation of costs, warranty limitations, and signature blocks to ensure enforceability.

Property/Goods ID

A precise legal description or serial number, including address, parcel ID, or VIN, to identify the subject of the agreement unambiguously.

Condition Statement

Detailed list of known defects, observable issues, and current operating condition; cite inspection dates and provide photographic or report references where available.

Repairs and Credits

Clear allocation of which repairs will be completed pre-closing, credited at closing, or excluded, with dollar amounts or workmanship standards stated.

Seller Representations

Affirmations about compliance with codes, absence of undisclosed liens, and that disclosures are complete to the seller's knowledge.

Buyer Remedies

Remedies available if undisclosed issues arise, including repair, price adjustment, escrow holdback, or termination rights and deadlines.

Signatures and Dates

Signature blocks for all parties with printed names, titles (if applicable), dates, and witness or notary lines when required.

Seller deadline to complete agreed repairs before closing.

Common Mistakes to Avoid When Preparing a Seller Condition Agreement

  • Using vague language such as 'in good condition' without objective measures leads to disputes and expensive litigation.
  • Failing to match party names to IDs or company registrations can create title issues or unenforceable signatures.
  • Omitting completion dates or measurable standards for repairs allows disagreements about whether work was properly performed.
  • Neglecting to attach inspection reports, photos, or contractor estimates weakens evidentiary support for disclosed conditions.

Consequences of Incomplete or Incorrect Seller Condition Agreements

Contract Disputes: Buyer remedies activated
Title Impediments: Undisclosed liens risk
Regulatory Fines: Agency penalties possible
Insurance Claim Denial: Coverage may be challenged
Closing Delay: Escrow holds increase costs
Reputational Risk: Buyer mistrust and litigation
