SELLER REPRESENTATION AGREEMENT

Parties

This Seller Representation Agreement (the Agreement) is entered into between the undersigned Seller and Broker as of the Effective Date set forth below. The parties agree as follows:

Broker Compensation; Commission

Seller agrees to pay Broker the compensation described below if, during the Term of this Agreement or any extension or Protection Period, Broker or any cooperating broker procures a buyer who closes on the Property or who is introduced to the Property by Broker.

Commission shall be earned upon the closing of escrow or transfer of title, and shall be paid from escrow proceeds unless otherwise agreed in writing. If Seller cancels this Agreement in breach of its terms, Seller remains liable for the Broker's earned commission and reasonable costs and expenses.

Broker Duties and Authority

Broker will: market the Property, place the Property on the local multiple listing service (MLS) if applicable, present all offers to Seller, assist in negotiation of terms, coordinate showings, and use commercially reasonable efforts to procure a buyer. Broker is authorized to list the Property in MLS, place signs on the Property, and cooperate with other brokers, subject to Seller's written limitations.

Seller Duties and Representations

Seller represents and warrants that Seller has the legal right to sell the Property, that the information provided to Broker is true and correct, and that Seller will cooperate with Broker's marketing and showing efforts, disclose known material defects, and deliver all offers to Broker promptly.

Disclosures

Seller acknowledges Seller's duty to provide required statutory disclosures and to disclose known defects. Indicate whether the Seller knows of the following:

Marketing; Access; Keys

Broker may advertise the Property, conduct open houses and showings, and place a lockbox on the Property unless Seller provides written instructions to the contrary. Seller will provide keys and reasonable access for showings and inspections.

Inspection; Repairs

Buyer shall have the right to inspect the Property. Seller may, in Seller's discretion and subject to agreement with Buyer, make repairs. Seller is responsible for any material misrepresentations in disclosures or failure to disclose known defects.

Termination; Default; Remedies

This Agreement terminates on the Listing End Date unless extended in writing. If Seller defaults, Broker is entitled to recover commissions, damages, and reasonable attorneys' fees. If the Property is sold to a buyer procured by Broker within the Protection Period, Seller shall pay Broker the commission described herein.

Confidentiality; Records

Broker will maintain in confidence any nonpublic information received from Seller except to the extent disclosure is required by law, MLS rules, cooperating brokers, escrow, title, or to perform Broker's duties under this Agreement.

Indemnification and Insurance

Seller agrees to indemnify and hold Broker harmless from claims arising out of Seller's misrepresentations or breach of this Agreement, except to the extent caused by Broker's gross negligence or willful misconduct. Seller is encouraged to maintain hazard insurance on the Property until transfer of title.

Notices

All notices required or permitted hereunder shall be in writing and delivered to the addresses provided below and will be effective upon personal delivery, overnight courier, or three days after deposit in the United States mail, postage prepaid.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. This Agreement constitutes the entire agreement between the parties concerning the listing of the Property and supersedes all prior agreements. Any amendment must be in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is held invalid, the remainder shall remain in full force and effect. Time is of the essence with respect to deadlines set forth in this Agreement. Broker is authorized to engage cooperating brokers and to accept compensation splits as agreed.

Acknowledgment

Seller acknowledges receipt of a copy of this Agreement and the opportunity to seek independent legal advice prior to signing. Seller affirms that the representations above are true to Seller's knowledge.
