What a Seller's Direction Agreement Is and when it’s used

A Seller's Direction Agreement is a written instruction from a seller specifying how sale proceeds, liens, taxes, prorations, or other closing items should be handled by escrow or the closing agent. It typically accompanies a purchase agreement and escrow instructions, designates payees, and authorizes disbursement of net proceeds at closing. The document clarifies responsibilities for payoff of loans, payment of commissions, tax withholding or reporting, and distribution of remaining funds. Parties use it to avoid post-closing disputes over funds and to provide the escrow agent with clear wiring or settlement instructions.

Why a clear Seller's Direction Agreement matters

A precise Seller's Direction Agreement reduces closing delays, allocates financial obligations transparently, and gives escrow agents the authority they need to disburse proceeds without seeking additional seller approval, lowering post-closing reconciliation and risk.

Why a clear Seller's Direction Agreement matters

Who typically completes and relies on this agreement

This agreement is completed by sellers and circulated to the real estate broker, escrow or closing agent, lender, and title company prior to or at closing.

  • Seller or authorized representative—provides payee directions, tax withholding instructions, and signature authorization for disbursement.
  • Escrow or closing agent—receives directions, confirms payoff amounts, and processes wire or check disbursement at closing.
  • Title company or lender—uses directions to coordinate payoffs, payoffs of liens, and release of encumbrances.

Clear routing and timely signatures prevent holdbacks and reduce chance of escrow refusing disbursement due to missing directions.

Who is authorized to sign on the seller's behalf

Seller/Owner

The individual owner or corporate officer listed as seller must sign, using the exact legal name; if signing for an entity, include title and proof of authority such as a corporate resolution or signed power of attorney.

Authorized Agent

An attorney-in-fact, closing agent, or designated representative may sign if a valid power of attorney or corporate authorization is attached; retain supporting documentation to prevent disputes and to meet recording or escrow requirements.

Lender Payoff Verification:

Lenders often require 24–72 hours to produce payoff figures.

Escrow Final Accounting:

Recording and Release:

Recording typically completes within 1–10 business days post-closing depending on county.

Disbursement of Funds:

Wires are often sent same day as recording or per escrow's instruction schedule.

Key processing stages from instruction to final disbursement

This sequential milestone list shows the main steps escrow follows once it receives seller directions and supporting documents.

01

Receive Instructions

Escrow logs and acknowledges receipt and matches to the file.

02

Verify Payoffs

Escrow or lender confirms exact payoff amounts and wiring info.

03

Prepare Closing Statement

Final HUD/closing statement is generated for seller review.

04

Disburse Funds

Escrow releases payoffs and net proceeds according to directions.

Common mistakes that delay or invalidate seller directions

  • Using abbreviated or inconsistent seller names that do not match title or lender records, causing rejection or additional verification steps.
  • Failing to attach payoff statements or lender contact details, which forces escrow to request confirmations and delays wire scheduling.
  • Entering incorrect wire routing or account numbers that result in returned funds or misdirected payments and additional bank fees.
  • Omitting proof of signing authority for entities or agents, leading escrow to refuse action until provided with corporate resolutions or POA.

Consequences of incorrect or missing seller directions

Closing Delay: Extended closing
Financial Loss: Returned funds
Contract Breach: Buyer remedies
Title Issues: Unreleased liens
Tax Withholding: Backup withholding
Notary Rejection: Invalid execution
