This Seminar Room Booking Agreement is entered into between Client Name: and Venue Name: (collectively, the Parties) effective as of the Effective Date: .

WHEREAS, Venue operates and manages seminar rooms and related facilities and provides related services; and

WHEREAS, Client desires to reserve and use a specified seminar room and associated services for the event described in this Agreement, and Venue agrees to provide the room and services on the terms set forth herein.

WHEREAS, the Parties intend that the terms below constitute a binding agreement governing the booking, payment, and related obligations.

Scope of Work

Venue shall provide the seminar room, standard seating configuration, basic lighting, heating/air conditioning, and any selected equipment as indicated above for the period set forth. Venue responsibilities include reasonable cleaning of the space prior to the event, provision of on-site contact for facility issues during the booked period, and access to restrooms and standard building amenities.

Payment Terms

Client agrees to pay Venue the total Booking Fee in exchange for the services and room reservation described herein. All amounts are stated in U.S. dollars and exclude applicable taxes unless otherwise specified.

Payment Schedule: Deposit is due upon signing to secure the reservation. Remaining balance is due by the Balance Due Date above. Failure to pay the balance when due shall constitute default and may result in cancellation and forfeiture of the deposit.

Term and Termination

This Agreement commences on Start Date: and terminates on End Date: , unless terminated earlier in accordance with this section.

Either Party may terminate this Agreement for convenience by providing written notice to the other Party not less than days prior to the Event Date. Venue may terminate immediately for Client's failure to pay undisputed fees when due or for breach of any material obligation.

Confidentiality

Each Party shall keep confidential any non-public information disclosed by the other Party in connection with the booking, including attendee lists, pricing, and proprietary operational details, and shall not disclose such information to third parties except as required by law or with the other Party's prior written consent. Confidential information does not include information that is or becomes public through no fault of the receiving Party.

Insurance, Liability & Indemnification

Client shall be responsible for the conduct of its attendees and shall indemnify, defend, and hold Venue harmless from any claims, losses, or damages arising from Client's use of the premises, except to the extent caused by Venue's gross negligence or willful misconduct. Venue's liability for any claim arising out of or relating to this Agreement shall be limited to direct damages up to the total Booking Fee paid by Client. Client is advised to maintain appropriate insurance covering its activities and property.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Governing State: without regard to conflict of law principles.

Entire Agreement

This Agreement, including any attachments or confirmed booking forms signed by the Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any amendment or waiver must be in writing and signed by both Parties.

Additional Provisions

The undersigned represent and warrant that they are authorized to bind their respective Party to the terms of this Agreement and that they have read and understand the obligations contained herein.
