PAYMENT TERMS

Client shall pay Contractor the Total Due in accordance with the following schedule unless otherwise agreed in writing:

Late Payment: Any undisputed past-due amount shall accrue interest at (monthly), and Client shall be responsible for reasonable collection costs, including attorneys' fees.

TERM AND TERMINATION

The term of this Quote commences on Start Date: and shall continue until End Date: or until completion of the Scope of Work, unless earlier terminated pursuant to this section.

Either party may terminate this Quote for material breach if the breaching party fails to cure within days after written notice. Upon termination for Contractor's convenience, Client shall pay Contractor for work performed and materials ordered through the effective date of termination.

CONFIDENTIALITY

Each party shall keep confidential all non-public information disclosed by the other party in connection with this Quote and shall not disclose such information to third parties except to employees, contractors or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those set forth herein. Confidential information shall not include information that is or becomes publicly available through no breach of this obligation, independently developed, or lawfully obtained from a third party.

WARRANTY AND LIMITATION OF LIABILITY

Contractor warrants that installed equipment will be free from defects in materials and workmanship for a period of from the date of final acceptance. Contractor's sole obligation under this warranty shall be, at its option, repair or replacement of defective items. Except as expressly set forth herein, Contractor disclaims all other warranties. In no event shall Contractor be liable for consequential, incidental or punitive damages.

GOVERNING LAW

This Quote and any resulting agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Quote, together with any attachments and accepted change orders signed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior proposals, negotiations, and agreements, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.
