This Septic Maintenance Service Contract (the Contract) is made and entered into as of by and between Service Provider: and Client: .

Parties and Contact Information

WHEREAS

WHEREAS, Service Provider is duly qualified and experienced in the inspection, pumping, cleaning and routine maintenance of on-site sewage disposal systems (septic systems), and maintains trained personnel and equipment necessary to perform such work in a professional manner; and

WHEREAS, Client desires to retain Service Provider to provide septic system maintenance and related services as set forth herein, and Service Provider agrees to provide such services under the terms and conditions of this Contract.

Scope of Work

Service Provider shall perform routine maintenance, inspection and necessary pumping of the septic system located at the Client property described above. Routine services shall include inspection of inlet and outlet baffles, measurement of sludge and scum levels, pump-out when indicated by industry standards or this Contract, inspection of drainfield condition, and identification of any defects or safety hazards. Tasks not included in routine maintenance are repairs to tanks, distribution boxes, drainfields, or replacement of mechanical components unless expressly listed in the payment schedule below.

Late Payment: If any undisputed invoice is not paid within days of the invoice due date, Client shall pay interest on the overdue amount at a rate of and reasonable collection costs.

Term and Termination

Term: This Contract shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Contract for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach if the breach is not cured within 15 days after written notice of such breach. Termination shall not relieve Client of obligation to pay for services rendered and expenses incurred prior to termination.

Confidentiality

Service Provider and Client each agree that all non-public business, operational or technical information obtained from the other party in connection with performance under this Contract (Confidential Information) shall be held in strict confidence and shall not be disclosed to third parties without the disclosing party's prior written consent, except as required by law. Confidential Information does not include information that (i) is or becomes public other than by breach of this Contract, (ii) is rightfully received from a third party without restriction, or (iii) is independently developed without use of the other party's Confidential Information.

Service Provider and Client acknowledge and agree to the confidentiality obligations described above.

Indemnification and Liability

Each party shall indemnify, defend and hold harmless the other party from and against any claims, liabilities, losses, damages and expenses (including reasonable attorney's fees) arising out of the indemnifying party's breach of this Contract, negligence or willful misconduct in connection with performance of the services. Service Provider's total liability for any claim arising under this Contract shall be limited to the total amount paid by Client to Service Provider under this Contract in the six months preceding the claim; in no event shall either party be liable to the other for incidental, consequential or punitive damages except for claims arising from willful misconduct.

Governing Law

This Contract shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law.

Entire Agreement; Amendments

This Contract, including any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, representations and understandings. Any amendment to this Contract must be in writing and signed by authorized representatives of both parties.

Severability and Assignment

If any provision of this Contract is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or obligations under this Contract without the prior written consent of the other party, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its business assets.

Acknowledgment

Each party represents and warrants that it has the full right, power and authority to enter into this Contract and to perform its obligations hereunder, and that the person signing below is authorized to bind the party to the terms of this Contract.
