SEPTIC SERVICE CONTRACT

This Septic Service Contract ("Agreement") is entered into as of Commencement Date: by and between Client Name: , Client Address: , and Service Provider Name: , Provider Address: . Client and Service Provider are each a "Party" and collectively the "Parties."

Recitals

WHEREAS, Client is the owner or lawful occupant of real property and premises located at Property Address: (the "Property"), which is served by an on-site wastewater disposal system ("Septic System");

WHEREAS, Service Provider is duly qualified and experienced in the inspection, pumping, maintenance, repair and related services for septic systems and possesses all licenses, permits and insurance required to perform the Services described herein; and

WHEREAS, Client desires to engage Service Provider to perform septic system services under the terms and conditions set forth in this Agreement, and Service Provider agrees to provide such services.

NOW, THEREFORE

In consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:

1. Services

1.1 Scope of Services. Service Provider shall provide the services described in the Service Description below (the "Services"), which may include pumping, desludging, inspection, filter cleaning, minor repairs, reporting and emergency response as required to maintain the Septic System in good working order.

2. Term

2.1 Term. The term of this Agreement shall commence on Start Date: and shall continue for a period of months unless earlier terminated in accordance with Section 12.

2.2 Renewal. This Agreement shall automatically renew for successive terms of equal length unless either Party provides written notice of non-renewal at least days prior to the end of the then-current term.

3. Compensation and Payment

4. Invoicing

Client shall not withhold payment except for bona fide disputed amounts, provided Client notifies Service Provider in writing within the payment period and in good faith attempts to resolve the dispute.

5. Access, Safety and Site Conditions

5.1 Access. Client shall grant Service Provider reasonable access to the Property and to the Septic System at scheduled times and in emergencies. Client shall ensure access roads and gates are passable and unlocked or provide keys as required.

5.2 Safety. Service Provider shall perform Services in accordance with generally accepted industry safety practices. Client shall notify Service Provider in writing of any known conditions that could pose a safety risk or impede performance.

8.1 Inspection Reports. Following any inspection or service visit, Service Provider will provide Client with a written report describing observed condition of the Septic System, recommendations for corrective work and any safety concerns. Report delivery within days.

9. Hazardous Conditions and Waste

9.1 Hazardous Materials. Client represents that it has disclosed to Service Provider any hazardous conditions or wastes present at the Property. If Service Provider encounters hazardous waste or conditions not disclosed by Client, Service Provider may suspend work until such conditions are abated and Client shall be liable for additional costs.

10. Insurance and Indemnity

10.1 Insurance. Service Provider shall maintain commercial general liability insurance with limits not less than and workers' compensation as required by law. Proof of insurance shall be provided upon request.

10.2 Indemnity. Each Party shall indemnify, defend and hold the other Party harmless from and against any third-party claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of Party's negligence or willful misconduct in connection with performance under this Agreement, except to the extent caused by the indemnified Party's negligence or willful misconduct.

11. Limitation of Liability

11.1 Limitation. Except for liability arising from gross negligence or willful misconduct, Service Provider's aggregate liability to Client for any claim arising out of or relating to this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

12. Termination

12.1 Termination for Convenience. Either Party may terminate this Agreement for any reason upon providing written notice at least days prior to the effective date of termination.

12.2 Termination for Cause. Either Party may terminate immediately upon written notice if the other Party materially breaches this Agreement and fails to cure such breach within fifteen (15) days after receipt of written notice specifying the breach.

13. Notices

13.1 Method. All notices required or permitted under this Agreement shall be in writing and delivered by hand, certified mail, or nationally recognized overnight courier to the addresses below or such other address as a Party may designate by notice.

14. Amendments; Waiver; Counterparts

14.1 Amendments. This Agreement may be amended only by a written instrument executed by both Parties.

14.2 Waiver. The failure of either Party to enforce any provision of this Agreement shall not constitute a waiver of future enforcement of that or any other provision.

14.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

15. Governing Law; Entire Agreement; Severability

15.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law rules.

15.2 Entire Agreement. This Agreement, together with any schedules or attachments expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings.
