What the Series B Noteholder Agreement Is and Who It Affects

A Series B Noteholder Agreement is a written contract that documents the rights and obligations between a company raising Series B financing and the holders of convertible promissory notes or other debt instruments related to that financing. The agreement typically consolidates conversion terms, valuation caps, discount provisions, interest accrual, maturity and repayment mechanics, events of default, amendment protocols, and investor representations. It often references the underlying note forms, any security or intercreditor arrangements, and contains schedules for holders, outstanding principal, and conversion history. Parties must confirm signatures, dates, and applicable governing law before execution.

Why a Clear Series B Noteholder Agreement Matters

A clear, complete agreement reduces uncertainty about conversion mechanics, repayment priorities, and amendment procedures for both the company and noteholders, making enforcement and future financings smoother.

Why a Clear Series B Noteholder Agreement Matters

Who Typically Prepares and Reviews This Agreement

These parties commonly prepare, review, and sign a Series B Noteholder Agreement.

  • Company legal and finance teams: Draft the terms, coordinate schedules, and confirm capitalization impacts.
  • Existing noteholders and new investors: Review conversion provisions, rights, and any subordination clauses.
  • Outside counsel and corporate counsel: Provide legal review, negotiation support, and advice on state law implications.

Final execution generally follows attorney review and internal signatory approvals; track execution dates carefully.

Core Elements to Include in a Professional Agreement

A thorough Series B Noteholder Agreement groups the contract mechanics, investor schedules, and amendment processes into clear sections so future interpretation is straightforward.

Conversion Terms

Specify conversion triggers, calculation method (cap, discount, or fixed formula), rounding rules, and treatment of fractional shares to avoid post-closing disputes.

Interest and Payment

State interest rate calculation, capitalization vs. cash payment, payment dates, and whether accrued interest converts with principal on a financing event.

Events of Default

List borrower defaults, remedies, cure periods, and acceleration rights; clarify whether default interest or fees apply.

Representations and Warranties

Include issuer and investor representations (capacity, authority, enforceability, securities compliance) to allocate risk and support enforceability.

Amendment Procedure

Describe required approval thresholds for amendments or waivers, notice processes, and how affected holders are identified and consent recorded.

Schedules and Exhibits

Attach holder schedules, outstanding principal balances, existing security interests, and any board or stockholder approvals necessary for conversion.

Step-by-Step: How to Complete the Agreement

Follow a logical sequence: verify parties, confirm numbers, obtain approvals, and collect signatures to create an enforceable record.

  • 01
Gather documents: Collect existing note instruments, board approvals, and capitalization data before drafting.
  • 02
Draft terms: Set conversion mechanics, default provisions, and amendment thresholds clearly.
  • 03
Conduct review: Have counsel and affected noteholders review for legal and tax implications.
  • 04
Execute and record: Obtain signatures, record execution dates, and distribute fully executed copies to holders.

How to Configure an Online Signing Workflow

Set up roles, authentication, and routing so each noteholder receives the right document version in the correct order.

Field Configuration
Signer Order Set sequential or parallel signing based on investor priorities.
Authentication Use email plus SMS code or stronger methods for high-value transactions.
Required Fields Make signature, date, and principal fields mandatory to prevent incomplete returns.
