Vendor warrants that services invoiced were performed in a professional manner consistent with industry standards. All hardware remains the property of the vendor until payment in full is received. Client shall inspect delivered goods and notify Vendor of any nonconformity within seven (7) days of delivery. Failure to timely notify shall constitute acceptance. Replacement, repair, or credit for proven defects constitutes the exclusive remedy for breach of warranty.

By accepting these goods or services, Client agrees that disputed items shall be raised in writing within fifteen (15) days of Invoice Date. Disputes do not relieve Client of the obligation to pay undisputed amounts when due. Vendor may suspend performance or withhold delivery of equipment if Client is delinquent in payment under this or any other agreement.

Tax and Compliance

All taxes, duties, and similar charges imposed by any authority on the sale, shipment, or delivery of the items or services billed herein are the responsibility of the Client unless otherwise indicated. If Client claims exemption from any tax, Client must provide appropriate exemption documentation prior to the Due Date.
