Invoices are due pursuant to the Billing Schedule. Unpaid amounts shall accrue interest at the rate specified in Late Payment Fee or, if no rate is specified, at the lesser of 1.5% per month or the maximum rate permitted by law. Service Provider may suspend services for material nonpayment after providing written notice and a cure period of days.

Term and Termination

Term: This Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach. Termination shall not relieve Client of its obligation to pay fees accrued through the effective date of termination.

Confidentiality

Each party (the "Receiving Party") shall hold in confidence all non-public, proprietary, or confidential information disclosed by the other party (the "Disclosing Party") and shall not use or disclose such information except as necessary to perform its obligations under this Agreement. Service Levels and Remedies

Service Provider will use commercially reasonable efforts to meet any agreed service levels described in the Scope of Work. If Service Provider materially fails to meet an agreed service level, Client's sole and exclusive remedy shall be the service credits or other remedies expressly set forth in the Scope of Work. Service credits are conditional upon Client's timely submission of a claim and do not apply where Service Provider's failure results from Client actions, third-party services, force majeure, or Client-provided configuration.

Limitation of Liability

Except for liability arising from a party's gross negligence, willful misconduct, breach of confidentiality, or indemnification obligations, neither party shall be liable to the other for indirect, incidental, special, consequential, or punitive damages. Each party's aggregate liability for any claim arising out of or relating to this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement during the twelve (12) month period preceding the event giving rise to the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties. The parties submit to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for disputes arising out of or related to this Agreement.

Entire Agreement; Amendment

This Agreement, including any attachments and the Scope of Work, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous negotiations and agreements, whether written or oral, relating to the subject matter hereof. No amendment, modification, or waiver shall be effective unless in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the contact information for each party set forth above or to such other address as either party may designate by notice to the other. Notices shall be deemed given when delivered personally, by certified mail, or by commercially recognized overnight courier.

Miscellaneous

If any provision of this Agreement is held unenforceable, the remainder of the Agreement will remain in full force and effect. The parties are independent contractors and nothing in this Agreement will be construed to create a partnership, joint venture, or agency relationship. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all assets.

What a Server Service Agreement Covers

A Server Service Agreement is a contract between a service provider and a customer that defines hosting, maintenance, support, and related duties for server-based infrastructure. It specifies the scope of services, service level objectives (SLOs) and response times, pricing and billing rules, data security and backup requirements, intellectual property and licensing terms, confidentiality obligations, termination rights, and dispute resolution. The agreement should also allocate liability, define indemnities, identify applicable law, and describe required deliverables and reporting. Electronic signatures executed under ESIGN or state UETA statutes are generally acceptable.

Why a Clear Server Service Agreement Matters

Use a Server Service Agreement to clearly assign responsibilities, set measurable SLAs, and limit operational and legal risk. It protects both parties by documenting uptime commitments, data-handling obligations, remedies for breach, and compliance requirements such as HIPAA or state privacy laws.

Why a Clear Server Service Agreement Matters

Who Typically Prepares and Signs This Agreement

Typical signers and completers span technical, procurement, and legal teams responsible for vendor relationships and operational compliance.

  • Managed service providers and hosting vendors — draft service terms, SLAs, and uptime commitments.
  • Corporate IT and DevOps teams — specify performance metrics, change control, and maintenance windows.
  • Procurement, legal, and compliance — review indemnities, data handling, breach notice, and governing law.

Clarifying who signs and who executes each technical exhibit reduces delays and avoids later disputes about implementation or billing.

Essential Elements to Include in the Agreement

A robust Server Service Agreement contains defined service scope, measurable SLAs, security obligations, pricing terms, change control, and clear termination and liability provisions.

Scope of Services

Describe exactly which servers, environments, and tasks are covered, including deployment, patching, monitoring, backups, and exclusions such as third-party SaaS or customer-managed systems.

SLA & Metrics

Set measurable uptime targets, incident severity definitions, response and resolution timelines, reporting cadence, monitoring tools, and credit or remediation mechanisms for missed targets.

Fees & Billing

State pricing model (fixed, usage-based, or tiered), invoicing frequency, late payment fees, tax responsibilities, and procedures for disputed charges and rate adjustments.

Security & Compliance

Specify encryption standards, access controls, vulnerability management, breach notification timelines, and obligations to support audits or provide compliance evidence.

Termination & Liability

Define termination rights, notice periods, data return or deletion obligations, liquidated damages, liability caps, and carve-outs for gross negligence or willful misconduct.

Change Control

Include a formal change control process, approval workflows for scope changes, pricing adjustments, scheduling, and rollback procedures to minimize service disruptions.

Step-by-Step: From Draft to Enforced Agreement

Follow this sequence to prepare, execute, and operationalize a Server Service Agreement with clear responsibilities and enforceable SLAs.

  • 01
Gather Requirements: Collect scope, users, data types, and uptime needs.
  • 02
Draft Terms: Define services, SLA metrics, fees, and term.
  • 03
Negotiate Protections: Agree limits of liability, indemnities, and remedies.
  • 04
Execute Agreement: Sign by authorized representatives and archive copies.

How to Configure Signing and Workflow Settings

Configure signing workflows to enforce order, apply authentication, and automate reminders and archival for Server Service Agreements.

Field Configuration
Authentication Email link, optional SMS OTP, or SSO
Signing Order Sequential for approvals, parallel for countersignatures
Reminders Remind after 3 days, weekly thereafter
Archival AES-256 encrypted archive with retention policy

Distribution, Formats, and Integration Considerations

Electronic execution and distribution options depend on file formats, integrations, and signer authentication methods supported by chosen eSignature and document platforms.

  • File Formats: PDF, DOCX, or HTML supported
  • Integrations: Salesforce, NetSuite, Microsoft 365, Google Workspace
  • Authenticator: Email, SMS, or SSO options

Typical Document Flow from Draft to Production

This flow shows how the Server Service Agreement moves from drafting to signature and into operational systems for onboarding.

  • Upload Document: Attach final draft in DOCX or PDF
  • Place Fields: Add signature, initials, and date fields
  • Send to Signer: Email or link with authentication option
  • Close Loop: Signed PDF and audit trail delivered

Security and Compliance Items to Specify

Encryption: AES-256 encryption at rest and TLS in transit
Access Control: Role-based access control with multi-factor authentication
Backups: Daily incremental backups plus weekly full snapshots retained offsite
Incident Response: Documented incident response plan with 24/7 contacts
Data Location: Specify data center region and residency requirements
Compliance: Identify compliance standards such as HIPAA and SOC 2

Common Timing and Deadlines to Include

Key timing points in a Server Service Agreement govern payments, renewal notices, SLA measurement windows, and data retention obligations.

Payment Terms:

Net 30 unless otherwise negotiated; late fees apply

Renewal Notice:

Provide written notice 60 days before expiration

SLA Measurement Window:

Monthly measurement and quarterly reporting cycles

Incident Response:

Critical incidents: respond within 1 hour; resolve per severity

Breach Notification:

Notify affected parties within 72 hours of discovery when applicable

Common Preparation Mistakes to Avoid

  • Vague service descriptions lead to disputes over what's included, causing disagreements and unplanned fees when expectations are not formally itemized or priced.
  • Undefined SLA metrics or ambiguous severity levels result in inconsistent incident handling and make remedies or credits difficult to enforce.
  • Failing to address data residency and encryption can trigger regulatory exposure under HIPAA, CCPA, or state breach notice laws in case of incidents.
  • Not specifying change management procedures often causes scope creep and billing disputes when new services or higher resource usage occur.

Typical Penalties and Contract Risks

Data Breach Fines: HIPAA penalties and state fines
SLA Liquidated Damages: Credit or monetary reduction
Termination Costs: Early termination fees possible
Indemnity Exposure: Third-party claim liability
Regulatory Penalties: CCPA, SHIELD civil penalties
Service Disruption Loss: Business interruption damages
