Scope of Work

The Provider shall perform the following services for Client. The parties acknowledge that the services described below constitute the complete scope of work to be performed under this Service Acknowledgment Form unless amended in writing and signed by both parties.

Payment Terms

Total Fee:

Late Payment: A late fee of per month (or the maximum permitted by law, whichever is less) shall be applied to overdue balances. In addition, the Provider may suspend performance if invoiced amounts remain unpaid for more than days after written notice.

Term and Termination

Term Commencement: This Acknowledgment commences on , and continues until , unless earlier terminated as provided below.

Termination for Convenience: Either party may terminate this Acknowledgment for any reason upon providing written notice to the other party not less than days prior to the effective date of termination.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches any obligation under this Acknowledgment and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

Definition: "Confidential Information" means all non-public, proprietary, or commercially sensitive information disclosed by one party to the other, whether oral, written, electronic or other tangible form.

Obligations: The receiving party shall (a) hold Confidential Information in strict confidence, (b) use Confidential Information solely for the performance of this Acknowledgment, and (c) not disclose Confidential Information to any third party except as required by law or as authorized in writing by the disclosing party. Reasonable precautions shall be taken to prevent unauthorized disclosure.

Exclusions and Return: Confidential Information does not include information that is or becomes publicly available without breach, is independently developed, or is rightfully received from a third party. Upon termination or request, the receiving party shall promptly return or destroy Confidential Information and certify such return or destruction.

Survival: The confidentiality obligations shall survive termination of this Acknowledgment for a period of three (3) years, except that trade secrets shall remain protected for as long as such protection is available under applicable law.

Governing Law and Dispute Resolution

This Acknowledgment shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties agree that exclusive venue for any dispute arising out of or relating to this Acknowledgment shall be the state or federal courts located within that State.

Entire Agreement

This Acknowledgment, together with any exhibits or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, representations, and warranties, whether written or oral. No modification or waiver of any provision of this Acknowledgment shall be effective unless in writing and signed by both parties.

Notices

Notices shall be given in writing to the addresses set forth above or to such other address as a party may specify in writing. Notices shall be effective upon receipt.
