What the Service Agreement for Additional Services Is

A Service Agreement for Additional Services is a contract that documents terms, scope, timing, and payment for work added to an existing engagement. It supplements a primary agreement by describing deliverables, responsibilities, pricing adjustments, completion deadlines, and acceptance criteria for the added tasks. The document preserves mutual expectations, reduces disputes, and creates an auditable record of changes to scope. Parties typically attach exhibits, revised schedules, and budget tables so the agreement can be enforced independently of informal approvals or email threads.

Why a Separate Agreement for Add‑On Work Matters

Using a distinct Service Agreement for Additional Services clarifies new obligations, ties additional fees to defined milestones, and documents authorization for work outside the original scope. Clear terms reduce billing disputes and protect both parties if performance or timelines change.

Why a Separate Agreement for Add‑On Work Matters

Who Typically Creates and Signs These Agreements

Several organizational roles commonly prepare or approve additional-services agreements before work begins.

  • Project managers and account leads who control scope and budgets and need formal change authorization.
  • Procurement and contracts teams that manage vendor terms, pricing adjustments, and addenda for compliance.
  • Clients and business owners who must approve revised deliverables, timeline changes, and payment schedules.

Identifying the right approvers ahead of execution prevents delays and ensures the agreement is binding for invoicing and performance.

Primary Signatory Roles and Typical Authority

Project Manager

Responsible for scope confirmation and operational approvals. Typically authorized to accept schedule changes and minor budget adjustments but may need procurement sign-off for significant cost increases.

Authorized Executive

An officer or designated contracting officer who can bind the organization to new fees and extended liabilities. Their signature is required for material amendments to master agreements.

Essential Elements to Include in the Agreement

A professional Service Agreement for Additional Services should be concise but complete, covering scope, timing, price changes, and risk allocation.

  • Missing or inconsistent dates that create uncertainty about when work starts and when payment is due.

Real‑World Examples of Additional Services Agreements

Examples show how organizations documented scope changes and captured signatures to proceed without delays.

  • They used an additional services agreement to define fees for weekend work.
  • The executed amendment allowed the team to bill and schedule inspectors without returning to the original master lease negotiation.

Xerox

Xerox required integration work beyond the original implementation contract.

  • The firm appended a scoped statement and pricing exhibit.
  • Executing the additional services agreement clarified deliverables and enabled timely invoicing through their NetSuite integration.

Practical Tips for Accurate and Efficient Completion

Adopt consistent templates and approval rules to speed execution while preserving legal safeguards.

Use a Standard Template
Start from a vetted addendum template that includes scope, price, and acceptance language so reviewers focus only on transactional details rather than recreating boilerplate terms.
Require Authorized Signers
Maintain an approval matrix that lists who can sign at dollar thresholds and obtain written confirmation of authority when uncertain to avoid repudiation.
Attach Exhibits
Include task lists, SOWs, and price tables as exhibits rather than embedding long technical descriptions in the main body to simplify reviews and amendments.
Keep an Audit Trail
Capture signer authentication records, IP addresses, and timestamps to support enforceability under ESIGN and UETA if disputes arise.
