SERVICE AGREEMENT ORKIN SERVICES

This Service Agreement ("Agreement") is entered into as of by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client requires pest control and related services for the premises identified below; and

WHEREAS, Service Provider represents that it is duly qualified, licensed, and insured to provide such services and desires to perform those services for Client under the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and promises herein, the parties agree as follows.

1. SCOPE OF WORK

Service Provider shall perform the Services at the Service Location in a professional manner consistent with industry standards and in accordance with all applicable laws and regulations. Routine treatments, monitoring, and any recommended corrective measures shall be performed as set forth in the Scope of Work.

2. PAYMENT TERMS

All amounts are payable in United States dollars unless otherwise agreed in writing. Client shall timely pay undisputed invoices within the time specified in the Payment Schedule. Service Provider may suspend performance if undisputed invoices are not paid within thirty (30) days of the invoice due date after providing seven (7) days' written notice. Client is responsible for reasonable costs of collection, including attorneys' fees.

Taxes: Client shall be responsible for any sales, use, or other taxes applicable to the Services, except for taxes based on Service Provider's net income.

3. TERM AND TERMINATION

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the Notice Period specified above after receiving written notice. Either party may terminate without cause by delivering the required notice. Termination does not relieve Client of the obligation to pay for Services performed or expenses incurred prior to the effective date of termination.

4. CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other that is marked or identified as confidential or which by its nature should reasonably be understood to be confidential. Each receiving party shall: (a) hold Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors or agents who need to know and are bound by confidentiality obligations no less restrictive than those contained herein. Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, except for trade secrets which shall be protected for as long as such information qualifies as a trade secret.

5. INSURANCE; INDEMNIFICATION; LIMITATION OF LIABILITY

Service Provider shall maintain commercial general liability insurance and, where applicable, professional liability and workers' compensation coverage in amounts customary for the industry. Service Provider shall defend and indemnify Client against claims arising from Service Provider's gross negligence or willful misconduct. Except for liability arising from gross negligence or willful misconduct, each party's aggregate liability under this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement in the twelve (12) months preceding the claim. Neither party shall be liable for incidental, consequential, special, punitive, or exemplary damages.

6. ACCESS, EQUIPMENT, AND HEALTH & SAFETY

Client shall provide Service Provider with reasonable access to the Service Location, utilities, and any information or cooperation necessary to perform the Services. Service Provider will use its own equipment and supplies unless otherwise specified in writing. Both parties shall comply with applicable health and safety laws. Service Provider will notify Client promptly of any conditions that may pose a hazard or interfere with performance.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles.

8. ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any attachments or written statements of work signed by both parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior proposals, negotiations, and agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

9. MISCELLANEOUS

Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or successor entity. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Notices required under this Agreement shall be in writing and delivered to the billing contact or service contact provided herein.
