SERVICE AGREEMENT SUB-AGREEMENT

This Sub-Agreement ("Sub-Agreement") is entered into as of Effective Date: by and between Primary Contractor Name: , a organized under the laws of , with principal place of business at ("Primary Contractor"), and Subcontractor Name: , a organized under the laws of , with principal place of business at ("Subcontractor"). The Primary Contractor and Subcontractor are each a "Party" and collectively the "Parties."

Recitals

WHEREAS, Primary Contractor and Subcontractor desire to set forth the terms under which Subcontractor will perform certain services in furtherance of that certain Master Service Agreement entitled: dated (the "Master Agreement");

WHEREAS, the Parties intend that this Sub-Agreement implement certain flow-down provisions of the Master Agreement and define specific duties, compensation, and risk allocation applicable to the services described herein.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and other valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

1. Definitions

1.1 "Services" means the work and deliverables to be performed by Subcontractor as described in the Statement of Work contained in Section 2 and any applicable attachments. 1.2 "Applicable Laws" means all federal, state, and local laws, rules, regulations and ordinances applicable to the performance of the Services.

2. Scope of Services and Statement of Work

2.1 Subcontractor shall perform the Services as described in the Statement of Work. Subcontractor shall deliver Services in accordance with the schedules, specifications and performance standards set forth below or in any incorporated attachment.

3. Relationship to Master Agreement; Flow-Down Obligations

3.1 Subcontractor acknowledges that the Master Agreement governs the Parties' relationship with respect to the project and that the Subcontractor shall comply with all flow-down obligations set forth in the Master Agreement. In the event of any conflict between this Sub-Agreement and the Master Agreement, the Master Agreement shall control to the extent expressly stated in the Master Agreement.

4. Term and Termination

4.1 Term. The term of this Sub-Agreement begins on the Effective Date and, unless earlier terminated in accordance with Section 4.2, continues until .

4.2 Termination for Cause. Either Party may terminate this Sub-Agreement for material breach by the other Party, provided that the non-breaching Party gives written notice of the breach and a thirty (30) day opportunity to cure. Termination for convenience by Primary Contractor requires days' prior written notice.

5. Compensation; Invoicing; Payment

5.1 Compensation. Primary Contractor shall pay Subcontractor for the Services at the rates agreed in the Statement of Work: Rate: per .

5.2 Invoicing. Subcontractor shall submit invoices to Primary Contractor in substantially the form required by the Master Agreement and shall include reasonable supporting documentation. Payment shall be due within days after receipt of an undisputed invoice.

6. Confidentiality

6.1 Each Party shall protect Confidential Information of the other Party with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care. Confidential Information includes any non-public information marked or reasonably understood to be confidential.

6.2 The obligations of this Section shall survive termination or expiration of this Sub-Agreement for a period of three (3) years, except for trade secrets, which shall remain protected for as long as they qualify as trade secrets under Applicable Law.

7. Intellectual Property

7.1 Work Product. All deliverables and work product conceived, prepared, or developed by Subcontractor under this Sub-Agreement shall be deemed "Work Product." Subcontractor hereby assigns and transfers to Primary Contractor all right, title and interest in and to the Work Product, including all intellectual property rights, to the extent assignable.

7.2 Pre-Existing Materials. Subcontractor shall identify in writing any Pre-Existing Materials embedded in deliverables and grants a non-exclusive, royalty-free license to Primary Contractor to use such Pre-Existing Materials to the extent incorporated into the Work Product.

8. Representations and Warranties

8.1 Each Party represents and warrants that it has full power and authority to enter into this Sub-Agreement and that performance will comply with Applicable Laws. Subcontractor further represents that Services will be performed in a professional and workmanlike manner consistent with industry standards.

9. Indemnification

9.1 Subcontractor shall indemnify, defend and hold harmless Primary Contractor, its affiliates and their respective officers, directors and employees from and against any third-party claims, liabilities, losses, damages and costs (including reasonable attorneys' fees) arising out of (a) Subcontractor's breach of this Sub-Agreement; (b) infringement or misappropriation of third-party intellectual property by the Work Product; or (c) Subcontractor's negligence or willful misconduct in performing the Services.

10. Insurance

10.1 Subcontractor shall maintain insurance coverage sufficient for the Services, including commercial general liability and workers' compensation as required by law. Minimum limits for commercial general liability shall be at least per occurrence, unless otherwise agreed in writing.

11. Limitation of Liability

11.1 Except for liability arising from breach of confidentiality, willful misconduct or indemnification obligations, neither Party shall be liable to the other for consequential, incidental, special or punitive damages. The aggregate liability of each Party for claims arising under this Sub-Agreement shall not exceed the total amount paid to Subcontractor for the Services under this Sub-Agreement during the twelve (12) month period preceding the claim.

12. Compliance with Laws; Background Checks

12.1 Subcontractor shall comply with all Applicable Laws in performing the Services. Where required by the Master Agreement or Applicable Law, Subcontractor shall conduct and document background checks for personnel performing Services and provide evidence of such checks to Primary Contractor upon request.

13. Subcontracting and Assignment

13.1 Subcontractor shall not assign or subcontract any material portion of the Services without the prior written consent of Primary Contractor. Any permitted subcontract shall be subject to the terms of this Sub-Agreement and Subcontractor shall remain fully liable for performance.

14. Audit; Records

14.1 Subcontractor shall maintain complete and accurate records related to performance of the Services and compensation for a period of three (3) years following final payment. Primary Contractor shall have the right to audit such records upon reasonable notice during normal business hours.

15. Notices

All notices required or permitted under this Sub-Agreement shall be in writing and delivered to the addresses specified below or to such other address as either Party may designate by notice in accordance with this Section.

16. Miscellaneous

16.1 Governing Law. This Sub-Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

16.2 Entire Agreement. This Sub-Agreement, together with the Master Agreement and any attachments expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral.

16.3 Severability. If any provision of this Sub-Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the Parties shall negotiate in good faith to replace the invalid provision with a valid provision that effectuates the Parties' intent.

16.4 Amendment; Waiver. No amendment or waiver of any provision of this Sub-Agreement shall be effective unless in writing and signed by authorized representatives of both Parties. The waiver of any breach shall not constitute a waiver of any subsequent breach.

16.5 Counterparts. This Sub-Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures delivered electronically shall be deemed original signatures for all purposes.
