SERVICE APPROVAL FORM

WHEREAS the parties seek to document approval for the scope, schedule, and payment terms for services to be provided by the Service Provider to the Client as set forth in this Service Approval Form, which when executed shall constitute a binding agreement between the parties for the approved services.

Scope of Work

The Service Provider shall perform the services described below in a professional manner consistent with industry standards. The parties agree that the description below constitutes the approved scope for the Work Order and limits the Service Provider's obligations to those tasks explicitly approved herein.

Payment Terms

The Client shall pay the Service Provider for services performed in accordance with the following payment terms. Unless otherwise agreed in writing, all fees are due in U.S. dollars.

Term and Termination

The term of this approval shall commence on the Start Date below and shall continue until the End Date or the completion of approved services unless earlier terminated in accordance with this section.

Either party may terminate for material breach if the breaching party fails to cure within the notice period set forth above. Termination shall not relieve the Client of its obligation to pay for services performed and costs reasonably incurred prior to termination.

Confidentiality

Each party acknowledges that in connection with the performance of services it may receive confidential or proprietary information of the other party. "Confidential Information" includes non-public business, technical, financial, and client information. Each party agrees to: (a) hold Confidential Information in confidence and not disclose it to third parties except as required for performance of this Agreement; (b) use Confidential Information solely to perform its obligations under this Approval Form; and (c) return or destroy Confidential Information upon termination or written request. Obligations of confidentiality do not apply to information that is publicly known without breach, lawfully received from a third party without restriction, or independently developed without use of the other party's Confidential Information.

Governing Law

This Service Approval Form shall be governed by and construed in accordance with the laws of the state specified below, excluding its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes arising from this Approval Form.

Entire Agreement

This Service Approval Form, together with any referenced schedules or attachments explicitly incorporated by reference, constitutes the entire agreement between the parties with respect to the approved services and supersedes all prior negotiations, proposals, and agreements, whether written or oral. Any modification or waiver of any provision of this Approval Form must be in writing and signed by an authorized representative of each party.
