Either party may terminate this authorization for convenience on no less than days' prior written notice to the other party. Termination for material breach shall be effective immediately upon written notice if the breaching party fails to cure within days following receipt of notice specifying the breach.

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to any third party any Confidential Information received from the other party in connection with the services. "Confidential Information" means nonpublic business, technical and financial information, trade secrets, and customer information, whether oral or written, that is designated as confidential or that, by its nature, ought reasonably to be treated as confidential. Confidential Information does not include information that: (a) is or becomes publicly available without breach of this Agreement; (b) was rightfully in the receiving party's possession prior to receipt; (c) is developed independently without use of the disclosing party's Confidential Information; or (d) is rightfully obtained from a third party without restriction.

INSURANCE AND LIABILITY (MATERIAL TERMS)

Service Provider shall maintain, at its expense, insurance coverage adequate for the performance of the services, including commercial general liability and professional liability where applicable. Neither party shall be liable to the other for indirect, incidental, or consequential damages except in the case of gross negligence or willful misconduct. The maximum liability of either party for direct damages arising out of or relating to this authorization shall not exceed the total amount paid under this authorization during the twelve (12) month period preceding the claim, except for liability arising from breaches of confidentiality, willful misconduct, or gross negligence.

GOVERNING LAW; DISPUTE RESOLUTION

This Service Authorization Form shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Any dispute arising out of or relating to this authorization shall be resolved by binding arbitration held in the county where the Client is located, unless the parties agree otherwise in writing.

ENTIRE AGREEMENT

This document, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
