Confidentiality

Confidentiality obligations shall survive termination or cessation for a period of following the effective cessation date.

Upon written request, the receiving party shall promptly return or destroy Confidential Information and certify such destruction within days, except to the extent retention is required by applicable law, regulation or its internal document retention policy.

Liability and Release

The parties acknowledge that cessation of services pursuant to this Request does not in itself constitute a waiver of claims arising from past breaches. Except as expressly provided herein, neither party shall be released from liability for obligations accruing prior to the effective cessation date. To the extent settlement or mutual release is desired, such release must be executed in a separate writing signed by both parties.

Governing Law

This Request shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Entire Agreement

Except as expressly modified by this Request, the Agreement remains in full force and effect.
