The services to be performed by the Service Provider and its crew are set forth below. This text shall control the scope of the crew activities, deliverables and performance standards.

Payment Terms

Client agrees to compensate Service Provider for the services of the crew as set forth below. Invoices shall be payable according to the schedule selected; late payments shall accrue the stated late fee.

Term and Termination

This Agreement commences on the date identified below and continues until the end date or until earlier terminated pursuant to this section. Either party may terminate as provided herein.

Either party may terminate for material breach if the breach is not cured within the notice period. Termination for cause is effective immediately if required by safety concerns, regulatory violation, fraud, or gross misconduct. Upon termination, Service Provider shall return Client property and submit a final invoice for work performed through the termination date.

Confidentiality

Each party shall maintain in confidence any non-public proprietary information disclosed by the other party in connection with this Agreement ("Confidential Information"). Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party without obligation of confidence, or is rightfully received from a third party without restriction. Receiving party shall use Confidential Information only for performance of its obligations and shall restrict disclosure to employees or subcontractors with a need to know and who are bound to maintain confidentiality.

Safety, Conduct and Compliance

Crew members must comply with Client safety policies and any applicable law or regulation. Service Provider represents that crew members assigned to Client projects are fit for duty, have completed required safety training and will observe Client site rules. Client may remove any crew member from a site for just cause; removal does not relieve Service Provider of payment obligations for properly performed work prior to removal.

Governing Law and Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state indicated below, without regard to its conflict of law principles.

This document, together with any attachments and schedules executed by the parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements, understandings and negotiations, whether written or oral. No modification will be effective unless in writing and signed by authorized representatives of both parties.
