What a Service Directive Form Is and When It’s Used

A Service Directive Form is a written instruction authorizing, clarifying, or modifying the scope, timing, or payment terms for services to be performed by a vendor or contractor. It defines parties, scope of work, effective dates, deliverables, and any special instructions or attachments that control performance. Organizations use it to avoid ambiguity, create a record for approvals, and trigger downstream processes such as billing, scheduling, and compliance checks. The form may be executed electronically where permitted by law and where signatory authority is documented.

Why the Service Directive Form Matters for Legal Clarity

A clear Service Directive Form reduces disputes by documenting intent, duties, and timelines; electronically executed directives are enforceable under the ESIGN Act (15 U.S.C. ch. 96) and state UETA frameworks where applicable, provided intent, consent, attribution, and retention requirements are met.

Why the Service Directive Form Matters for Legal Clarity

Who Commonly Prepares and Signs Service Directives

Organizations use Service Directive Forms across departments where work instructions, approvals, and change directives must be recorded and tracked.

  • Project managers and procurement teams who issue scope changes and work orders to vendors.
  • Facilities and property managers who authorize maintenance, repairs, or vendor work onsite.
  • Legal, compliance, and vendor management teams who need documented approvals and audit trails.

Parties signing should have express authority to bind their organization; include job title and contact details to reduce later challenges.

Core Elements to Include in a Professional Service Directive

A complete Service Directive Form bundles administrative data, a precise scope, timing, financial terms, and explicit signatory authority so it can be relied on by operational, finance, and legal teams.

Parties & Contacts

List full legal entity names, primary contact names, emails, and phone numbers so responsibility and notice delivery are unambiguous.

Scope of Work

Describe tasks, specifications, and deliverables with measurable acceptance criteria; attach drawings or exhibits to avoid interpretive disputes.

Effective Dates

Specify an effective date and, where applicable, completion or milestone dates to trigger obligations and billing cycles.

Payment Terms

State rates, invoicing schedule, payment due days, late fees, and any retainage or milestone-based payments.

Special Instructions

Include access rules, safety requirements, warranty updates, or change order procedures that affect performance or compliance.

Signature & Authority

Provide signature blocks with printed name, title, date, and a statement that signer is authorized to bind the organization.

Step-by-Step: Complete and Issue a Service Directive

Follow these sequential steps to prepare, approve, and distribute a Service Directive efficiently and with an audit trail.

  • 01
Draft the Directive: Enter parties, scope, dates, and payment terms.
  • 02
Attach Exhibits: Add specifications, diagrams, or schedules as exhibits.
  • 03
Obtain Approvals: Route to authorized approvers for signatures.
  • 04
Distribute Copies: Send executed copies to all stakeholders and file.

Digital Workflow Settings to Configure

When configuring an online workflow, set field behaviors and routing to match your internal approval process and controls.

Field Configuration
Required Fields Make parties, effective date, and signature mandatory.
Conditional Routing Route to legal if value exceeds approval threshold.
Signer Authentication Use SMS or email code for identity verification.
Audit Trail Enable detailed logging for IP, time, and actions.

Digital Signing and Integration Considerations

Ensure your eSignature platform supports required authentication, audit logs, and the formats used by downstream systems.

  • File Formats: PDF, DOCX accepted
  • Authentication: Email, SMS, or advanced methods
  • Integrations: CRM, ERP, cloud storage

Choose settings that preserve a tamper-evident record, enable automated routing to finance or procurement, and integrate with storage systems for long-term retention.

Where to Send the Completed Form

A signed Service Directive should be routed to stakeholders who act on, approve, and archive the instruction; adjust recipients to match internal roles.

  • Service Provider: Primary recipient to schedule and execute work.
  • Procurement / Finance: Receives for invoice processing and budget control.
  • Project Manager: Receives for day-to-day coordination and acceptance.
  • Records Archive: Store final executed copy for retention.

Typical Timeframes, Notice Periods, and Deadlines

Establish clear deadlines in the directive for acknowledgment, start of work, milestone delivery, and dispute notices to avoid ambiguity.

Acknowledgement Window:

24–72 hours to confirm receipt and schedule.

Start Date:

Defined as MM/DD/YYYY in the Effective Date field.

Milestone Delivery:

Specify exact dates or number of days after start.

Cure Period:

Commonly 7–30 days to remedy performance issues.

Invoice Submission:

Invoices due per stated payment terms after acceptance.
