Provider and Client each agree to hold in confidence any non-public information disclosed in connection with this Request (including inspection reports, test results, and trade information) and not to disclose such information to third parties except as required by law or with prior written consent. Confidential information shall not include information that is or becomes publicly available other than by breach of this obligation.

LIMITATION OF LIABILITY

Provider's liability for claims arising out of or related to this Request shall be limited to direct damages not to exceed the total amounts paid by Client to Provider for the specific inspection giving rise to the claim. In no event shall Provider be liable for consequential, incidental, or punitive damages.

GOVERNING LAW

This Request shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Request, together with any attachments and accepted work orders, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings. Any modification must be in writing and signed by both parties.
