Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period set forth above. Termination shall not relieve either party of obligations accrued prior to termination, including payment for services performed and costs reasonably incurred.

Confidentiality

During the term of this Agreement and for a period of years following termination, each party shall hold in strict confidence and shall not disclose to any third party, without the prior written consent of the disclosing party, any Confidential Information provided by the other party. Confidential Information includes non-public business information, trade secrets, technical data, customer lists, pricing, and other information reasonably understood to be confidential. The obligation of confidentiality does not apply to information that (a) is or becomes public other than by breach of this Agreement, (b) was known to the receiving party prior to disclosure, (c) is independently developed, or (d) is required to be disclosed by law, provided the disclosing party is given prompt notice and the scope of disclosure is limited to the minimum required.

Insurance, Permits & Safety

Service Provider shall maintain at its expense commercially reasonable insurance, including general liability and workers' compensation, and provide proof of such insurance upon Client's request prior to commencement. Service Provider is responsible for obtaining any permits or approvals required to perform the installation unless otherwise agreed in writing. Service Provider shall comply with all applicable health and safety laws and regulations while on Client premises.

Warranties and Remedies

Service Provider warrants that services shall be performed in a workmanlike manner and in accordance with the Scope of Work. For defects in workmanship reported in writing within 90 days following completion, Service Provider shall, at its option, re-perform defective work or issue a refund for such defective portion. EXCEPT AS PROVIDED IN THIS PARAGRAPH, SERVICE PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for incidental, consequential, special, or punitive damages. The aggregate liability of either party for any claim arising out of this Agreement shall not exceed the total amounts paid by Client to Service Provider under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

Entire Agreement

This Agreement, including the Scope of Work and any attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
