Either party may terminate this License for convenience upon days' prior written notice to the other party. Termination for material breach shall be effective upon days' notice and failure to cure.

Confidentiality

Each party shall protect the other party's Confidential Information with the same standard of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential Information may not be used except to perform under this Quote and may not be disclosed except to employees and contractors who have a need to know and who are bound to protect confidentiality.

The obligations of confidentiality shall survive termination or expiration of this Quote for a period of years, except with respect to information that becomes publicly available without breach.

Intellectual Property & License

Licensor grants Licensee a non-exclusive, non-transferable, revocable (subject to termination provisions) license to use the services identified in this Quote solely for Licensee's internal business purposes, subject to any usage limits or territory restrictions set forth herein or in a subsequently executed license agreement.

Limitation of Liability

Except as expressly required by applicable law, neither party shall be liable for incidental, consequential, special, or punitive damages. Licensor's aggregate liability for claims arising out of this Quote shall not exceed the total fees paid by Licensee under this Quote during the twelve (12) months preceding the event giving rise to liability.

Governing Law

This Quote shall be governed by and construed in accordance with the laws of the state of without regard to conflicts of law principles.

Entire Agreement
