WHEREAS, Service Provider (identified above) maintains personnel, tools, equipment and technical expertise necessary to provide routine and emergency maintenance services described herein; and

WHEREAS, Client desires to engage Service Provider to perform maintenance services for certain equipment, systems or premises under the terms and conditions of this proposal; and

WHEREAS, the parties intend for this document, when accepted by Client signature below, to constitute the agreement governing the services, payment obligations, confidentiality and remedies between the parties.

Late fee:     Invoices unpaid after days shall accrue the late fee above and may result in suspension of services until past due amounts are remitted.

Renewal: This agreement shall automatically renew for successive terms of equal duration unless either party delivers written notice of non-renewal at least days prior to the then-current term expiration.

Termination for Cause: Either party may terminate for material breach if the breaching party fails to cure within 30 days after receipt of written notice. Termination does not relieve the Client of payment for services rendered through the effective date of termination, including reimbursable costs incurred.

Confidentiality

Each party shall hold Confidential Information of the other party in strict confidence and shall not disclose such information to third parties except to employees or contractors with a need to know. Confidential Information excludes information that is or becomes publicly known without breach, is rightfully received from a third party, or is independently developed. Breach of confidentiality shall entitle the non-breaching party to injunctive relief in addition to any other remedies at law or in equity.

Insurance, Indemnity and Liability

Insurance: Service Provider shall maintain commercially reasonable insurance coverage appropriate to the services, including general liability and workers' compensation as required by law. Evidence of coverage shall be provided upon reasonable request.

Indemnity: Each party shall indemnify and hold harmless the other from claims arising from that party's negligent acts or omissions in the performance of its obligations under this proposal, except to the extent caused by the indemnified party's negligence or willful misconduct.

Limitation of Liability: Except for willful misconduct or gross negligence, neither party shall be liable to the other for incidental, consequential, special or punitive damages. The aggregate liability of either party shall not exceed the fees paid under this proposal during the six (6) months preceding the event giving rise to the claim.

This proposal and any resulting agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties:
