SERVICE PAID SERVICES ORDER FORM

WHEREAS

WHEREAS, Client requires certain professional services described herein and desires to retain Service Provider to perform such services on the terms and conditions set forth in this Order; and

WHEREAS, Service Provider represents that it has the experience, personnel, and resources necessary to perform the services described in this Order and agrees to provide such services in a professional and workmanlike manner consistent with industry standards; and

WHEREAS, the parties intend for this Order to constitute a binding agreement setting forth the scope, schedule, and payment terms for the services to be provided.

List each billable service, estimated quantity, unit price, and extended amount. Final billing shall reflect actual services rendered and any mutually agreed change orders.

PAYMENT TERMS

Payment shall be made in U.S. Dollars unless otherwise agreed in writing. Service Provider shall invoice Client in accordance with the payment schedule below. Unless otherwise stated on an accepted invoice, all invoices are due within the number of days set forth below.

TERM AND TERMINATION

This Order commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Order for convenience upon providing written notice no fewer than days prior to the effective termination date. Either party may terminate for material breach if the breaching party fails to cure such breach within days following written notice of the breach.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any non-public information of the other party (the "Disclosing Party") marked or reasonably understood to be confidential, including business plans, financial information, technical information, trade secrets and client data ("Confidential Information"). The Receiving Party shall use Confidential Information solely for the performance or enforcement of this Order and shall protect it with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential Information does not include information that (i) is or becomes publicly available through no breach by the Receiving Party; (ii) is rightfully received from a third party without restriction; (iii) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (iv) is required to be disclosed by law, provided the Receiving Party gives prompt notice and cooperates to limit scope of disclosure.

GOVERNING LAW

This Order shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. The parties consent to exclusive jurisdiction and venue in the courts located in such state for disputes that are not subject to arbitration under this Order.

ENTIRE AGREEMENT

This Order, together with any exhibits, attachments, and referenced master services agreement if applicable, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification of this Order must be in writing and signed by duly authorized representatives of both parties.

MISCELLANEOUS

Service Provider is an independent contractor and nothing in this Order creates an employment, partnership, joint venture, or agency relationship. Neither party may assign its rights or delegate its obligations under this Order without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all assets.

To the extent either party wishes to require insurance, indemnification, or other commercial protections beyond those set forth in this Order, such requirements must be expressly set forth in an attachment signed by both parties.

By signing below, the parties acknowledge and agree that this Order accurately reflects the services to be provided, the payment terms, and the other material terms set forth herein.
