SERVICE PROJECT FEE AGREEMENT

This Service Project Fee Agreement (the Agreement) is entered into as of Effective Date: by and between Service Provider Name: and Client Name: .

WHEREAS

WHEREAS, Service Provider has expertise and experience in providing the professional services described herein and possesses the personnel and resources necessary to perform the Project identified below;

WHEREAS, Client desires to retain Service Provider to perform the Project under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth the scope, schedule, fee structure and related terms for the Project known as Project Name: .

SCOPE OF WORK

PAYMENT TERMS

Invoices are due within days of invoice date (Net days). Payment shall be in lawful currency and made to the account or address specified on the invoice. Client is responsible for all applicable taxes except taxes based on Service Provider's net income.

Late Payment: Unpaid amounts shall accrue interest at the lesser of (i) percent per month, compounded monthly, or (ii) the maximum rate permitted by law, plus Service Provider's reasonable costs of collection, including attorneys' fees.

TERM AND TERMINATION

Term: This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination for Cause: Either party may terminate for material breach if the breach is not cured within 15 days after written notice specifying the breach.

Upon termination, Client shall pay Service Provider for all Services performed and reasonable, non-cancellable commitments made through the effective date of termination. Service Provider shall deliver all work-in-progress and reasonable documentation necessary for Client to transition the Project.

CONFIDENTIALITY

Definition: "Confidential Information" means information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential, including business plans, pricing, trade secrets, technical data, and client lists.

Obligations: The receiving party shall (i) use Confidential Information only to perform its obligations under this Agreement, (ii) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but not less than reasonable care, and (iii) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less restrictive than those herein.

Exceptions: Confidential Information does not include information that is or becomes publicly known through no wrongful act, is independently developed without use of the other's Confidential Information, or is rightfully received from a third party without restriction.

DELIVERABLES AND ACCEPTANCE

Deliverables shall be as described in the Scope of Work. Client shall have a reasonable review and acceptance period not to exceed business days after delivery to provide notice of rejection with specific defects. Absent timely notice, the Deliverable shall be deemed accepted.

LIMITATION OF LIABILITY & INDEMNITY

Limitation of Liability: Except for liability arising from willful misconduct or gross negligence, each party's aggregate liability for claims under this Agreement shall not exceed the total amount paid by Client to Service Provider under this Agreement during the twelve (12) months preceding the claim.

Indemnity: Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising from the indemnifying party's breach of this Agreement, negligence, or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. Venue for any dispute shall be the competent courts located in that jurisdiction unless otherwise agreed in writing.

ENTIRE AGREEMENT

This Agreement, including all exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. Any amendment must be in writing and signed by authorized representatives of both parties.
