WHEREAS, Provider provides rental of equipment and related services and represents that it has the capacity and experience to provide the rental services described in this Quote; and

Provider will invoice as follows: Deposit: (due upon acceptance); Balance due: days after delivery/completion or receipt of invoice, whichever is later.

Late Payment: Any undisputed amount not paid when due shall accrue interest at or the maximum rate permitted by law, whichever is less. Client shall be responsible for collection costs and reasonable attorneys' fees incurred by Provider to collect overdue amounts.

Termination for Convenience: Either party may terminate this Quote upon written notice to the other at least days prior to the requested termination date. Termination shall not relieve Client of liability for Rent and charges incurred prior to termination or for reasonable costs incurred by Provider in connection with demobilization.

Insurance, Risk and Use

Client shall be responsible for all loss or damage to rented equipment from any cause while in Client's possession, subject to any insurance required below. Client shall maintain at its expense insurance covering property damage and liability as reasonably required by Provider. Provider retains ownership of all rental equipment at all times.

Confidentiality

Each party shall treat as confidential and shall not disclose to third parties any non-public business or technical information of the other party disclosed in connection with this Quote ("Confidential Information"), except (i) as required by law, (ii) to the extent such information is or becomes publicly available through no fault of the receiving party, or (iii) to the receiving party's legal or financial advisors who agree to be bound by confidentiality obligations. Confidentiality obligations shall survive termination of this Quote for a period of three (3) years.

Warranties and Limitations

Provider warrants that equipment provided under this Quote will be in good working order at the time of delivery. EXCEPT AS EXPRESSLY PROVIDED IN THIS PARAGRAPH, PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Provider's liability for damages arising out of or related to this Quote shall be limited to the total fees paid under the Quote, and in no event shall Provider be liable for incidental, consequential, or punitive damages.

Governing Law

This Quote shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles.

Entire Agreement

This Quote, including any attachments and accepted change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous proposals, negotiations, representations, and agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
