SERVICE REPAIRS AGREEMENT

RECITALS

WHEREAS, Service Provider is duly qualified and experienced in performing repair, maintenance and installation services for equipment and property, and holds appropriate licenses, permits and insurance to perform the Services described herein; and

WHEREAS, Client desires to retain Service Provider to perform repairs and related services on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows. Effective Date:

SCOPE OF WORK

Service Provider will perform repair services described below (the "Services") in a professional and workmanlike manner in accordance with industry standards. The Services will include labor, diagnostic work, replacement of parts as agreed, testing, and reasonable cleanup associated with the repair work.

PAYMENT TERMS

Client shall pay Service Provider for the Services as set forth below. All payments are due in U.S. dollars and are exclusive of any taxes unless otherwise stated.

Client will be responsible for reasonable additional charges for parts and labor resulting from undisclosed damage, unforeseen conditions, or changes requested by Client. Service Provider will obtain Client approval for any work estimated to exceed the agreed amount by more than .

WARRANTY; LIMITATION OF LIABILITY

Service Provider warrants that labor performed will be free from defects in workmanship for a period of from completion. Parts provided carry the manufacturer's warranty only. Except for the express warranty stated above, Service Provider disclaims all other warranties, whether express or implied.

To the maximum extent permitted by law, Service Provider’s liability for any claim arising out of or relating to this Agreement shall be limited to the amount actually paid by Client for the specific Services giving rise to the claim. Neither party will be liable for incidental, consequential, or punitive damages.

CHANGE ORDERS

Any changes to the Scope of Work shall be made only by written change order signed by both parties, which shall describe the change, the additional compensation (if any), and any adjustment to the schedule.

COMPLETION AND ACCEPTANCE

Upon completion of the Services, Service Provider will notify Client and provide a final invoice. Client shall inspect the work promptly and notify Service Provider in writing of any nonconforming work within . Failure to provide timely notice constitutes acceptance.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until completion of the Services or End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon prior written notice to the other party. Either party may terminate immediately for material breach if the breaching party fails to cure within ten (10) days after receipt of written notice of such breach. Upon termination, Client shall pay for all Services performed and costs reasonably incurred through the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other relating to business operations, technical data, pricing, or other information designated as confidential or which reasonably should be understood to be confidential. The receiving party will: (a) hold Confidential Information in strict confidence; (b) not disclose it to third parties except to employees, agents or contractors who need to know and who are bound by confidentiality obligations no less protective than this Agreement; and (c) use Confidential Information only to perform its obligations under this Agreement.

Confidential Information does not include information that is or becomes publicly available through no breach by the receiving party, was rightfully known by the receiving party prior to disclosure, is independently developed without use of the disclosing party’s Confidential Information, or is required to be disclosed by law or court order (provided the receiving party gives prompt notice to allow the disclosing party to seek protection).

INDEMNIFICATION AND INSURANCE

Each party shall indemnify, defend and hold harmless the other party from and against all third-party claims, liabilities, losses, costs and expenses arising out of the indemnifying party’s negligence or willful misconduct in connection with performing this Agreement. Service Provider shall maintain commercial general liability insurance and worker’s compensation as required by law and shall provide certificates upon reasonable request.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including all exhibits and signed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations and understandings, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the other party's prior written consent, except to a successor in interest in connection with a merger or sale of substantially all assets.
