Parts and materials supplied by Service Provider are warranted only to the extent of the manufacturer's warranty, and Service Provider's labor warranty, if any, is limited to from completion of work.

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for cause is permitted where the non‑breaching party provides written notice of material breach and the breach remains uncured after a reasonable cure period of days.

Confidentiality

Each party agrees that information designated as confidential, or which a reasonable person would consider confidential under the circumstances ("Confidential Information"), will be held in confidence and used only for performance of this Agreement. Confidential Information does not include information that is publicly available, rightfully received without obligation of confidentiality, or independently developed without use of the other party's Confidential Information. Obligations of confidentiality survive termination of this Agreement for a period of two (2) years.

Limitation of Liability & Indemnity

Service Provider's liability for direct damages arising from performance of services will not exceed the total fees paid by Client for the specific services giving rise to the claim. Neither party will be liable for incidental, consequential, or punitive damages. Client shall indemnify and hold Service Provider harmless from claims arising from Client's negligence, modification of work by third parties, or failure to maintain the equipment as recommended.

Governing Law

This Agreement will be governed by and construed in accordance with the laws of the state identified by Client's service address without regard to choice‑of‑law principles.

Entire Agreement

This Service Request for AC, together with any written attachments and authorized change orders, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations and understandings. Modification of this Agreement is effective only if made in writing and signed by both parties.
