SCOPE OF WORK

The Service Provider shall perform the following services in a professional and workmanlike manner consistent with industry standards. The description below is expected to include deliverables, milestones, and any materials to be provided by the Client.

PAYMENT TERMS

Unless otherwise agreed in writing, all amounts payable are exclusive of taxes, duties or levies, which shall be the responsibility of the party required to pay them under applicable law.

TERM AND TERMINATION

This Agreement commences on Start Date: and, unless earlier terminated in accordance with this Section, expires on End Date: .

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the intended termination date. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within a commercially reasonable time following written notice.

Upon termination, the Service Provider shall be entitled to payment for all services performed and documented expenses incurred through the effective date of termination. The parties shall cooperate to effect an orderly wind-down of services.

CONFIDENTIALITY

Each party ("Receiving Party") shall keep confidential and shall not disclose to any third party any Confidential Information of the other party ("Disclosing Party") except as necessary to perform its obligations under this Agreement. "Confidential Information" includes non-public business, technical, financial, and operational information, but does not include information that is or becomes generally known to the public other than by the Receiving Party's breach of this Agreement or is independently developed without use of the Disclosing Party's Confidential Information.

The Receiving Party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, and in no event less than a reasonable degree of care. Upon termination, each party shall return or destroy the other party's Confidential Information upon written request.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that State for resolution of disputes.

ENTIRE AGREEMENT

This Service Request for Assistance, together with any attachments or accepted change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

ADDITIONAL PROVISIONS

Change orders: Any material change to the Scope of Work shall be documented in a written change order specifying adjustments to scope, schedule, and compensation. No change order is effective without mutual written agreement.

Insurance and compliance: The Service Provider shall maintain insurance customary for the services provided and shall comply with applicable laws, permits and regulations in performing the services.
