WHEREAS

WHEREAS, the Service Provider has performed certain services for the Client as described in the Scope of Work below, and the Client desires to accept and sign off on completion of those services subject to the terms of this document.

WHEREAS, parties intend this document to constitute a formal acceptance and final acknowledgement of services rendered, including any identified defects, punch-list items, and payment obligations associated with final acceptance.

WHEREAS, by signing below the parties confirm that the facts set forth herein are true and that this document operates as a conclusive sign off except for any expressly reserved items noted in the Acceptance Checklist.

Scope of Work

The Service Provider represents that the following work has been completed in accordance with the agreement between the parties. Describe the completed services, deliverables, locations, and any identifiers (work order, contract number).

Payment Terms

Payment due within days of invoice receipt. Late payments shall incur a late fee of % per month on the unpaid balance, or the maximum lawful interest permitted, whichever is less.

Term and Termination

This sign off is effective as of the Effective Date below and evidences final acceptance of the completed services. The underlying agreement term and any warranty period are identified here for clarity.

Confidentiality

The confidentiality obligations set forth herein shall survive termination of the underlying agreement for a period of years.

Governing Law

This Service Sign Off Document and any dispute arising out of or relating to it shall be governed by the laws of the state of without regard to its conflict of laws principles.

Entire Agreement

This document, together with the referenced underlying agreement and any incorporated change orders expressly identified herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, proposals, and communications, whether oral or written.
