TERM AND TERMINATION

Either party may terminate for material breach if the breaching party fails to cure within thirty (30) days after receipt of written notice of such breach. Termination shall not relieve the Client of obligations to pay for services performed prior to the effective date of termination.

CONFIDENTIALITY

Each party shall hold in strict confidence all proprietary or confidential information disclosed by the other party in connection with this engagement ("Confidential Information"). Confidential Information shall not include information that is (a) already known to the receiving party without restriction, (b) becomes publicly available through no fault of the receiving party, or (c) is required to be disclosed by law, provided the disclosing party is given prompt notice and reasonable assistance in seeking a protective order.

The obligations of confidentiality shall survive termination or expiration of this agreement for a period of three (3) years, except with respect to trade secrets, which shall be protected for so long as they remain trade secrets under applicable law.

GOVERNING LAW
