WHEREAS, Client requires certain services and has engaged Provider to perform the services described below under the terms and conditions set forth in this Agreement.

Term and Termination

This Agreement commences on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within the notice period specified above. Termination for convenience is permitted subject to payment of all fees accrued through the effective date of termination.

Confidentiality

Each party acknowledges that in connection with the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in any form that is designated confidential or that reasonably should be understood to be confidential. Each party shall: (a) hold the other's Confidential Information in strict confidence; (b) not use it except to perform under this Agreement; and (c) not disclose it to third parties except to employees, contractors or advisors who have a need to know and are bound by confidentiality obligations no less protective than those herein.

Independent Contractor; Indemnification

Provider is an independent contractor and neither party's employees shall be considered employees or agents of the other. Provider shall indemnify, defend and hold Client harmless from and against any third-party claims arising from Provider's gross negligence or willful misconduct in performing the services.

Notices

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflicts of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for purposes of any dispute arising under this Agreement.

This Agreement, including any exhibits and schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals or representations, written or oral. Any amendment or modification to this Agreement must be in a written instrument signed by duly authorized representatives of both parties.

Miscellaneous Provisions

Assignment is prohibited without the prior written consent of the non-assigning party, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its assets. Any provision that is held invalid shall be reformed to the extent necessary to effect the parties' intent, and the remaining provisions shall continue in full force and effect.
