Either party may terminate this agreement for convenience upon written notice to the other party provided at least days prior to the intended termination date. Either party may terminate immediately for cause upon material breach by the other party if such breach is not cured within a reasonable cure period after written notice, or as otherwise permitted by law.

Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means information disclosed by a party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. The receiving party shall (a) hold Confidential Information in strict confidence, (b) not disclose it to third parties except as expressly permitted in writing, and (c) use Confidential Information solely to perform obligations under this Agreement. The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years, except with respect to trade secrets, for which protection shall last as long as applicable law requires.

Liability and Insurance (Summary)

Each party's liability for direct damages arising under this Agreement shall be limited to the amount paid or payable by Client to Service Provider under this Agreement during the twelve (12) months preceding the event giving rise to the claim. Neither party shall be liable for consequential, incidental, or punitive damages. Service Provider agrees to maintain commercially reasonable insurance coverage appropriate to the scope of services provided.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of laws principles.

Entire Agreement; Amendments

This Agreement, including any attachments and the Scope of Work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings.
