SERVICE VEHICLE AGREEMENT

This Service Vehicle Agreement (the "Agreement") is made as of Effective Date: between Service Provider Name: and Client Name: .

WHEREAS

WHEREAS, Service Provider is engaged in the business of providing maintenance, repair, and operation services for motor vehicles and possesses personnel and facilities capable of performing such services under the terms set forth herein; and

WHEREAS, Client owns or controls the vehicle described below and desires to engage Service Provider to perform the services identified in the Scope of Work on the terms and conditions of this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

SCOPE OF WORK

Service Provider shall perform the services described below with due skill, care, and in accordance with industry standards. Services shall include inspection, maintenance, repair, and parts procurement when authorized in writing by Client. Tasks, deliverables, location(s), and special instructions must be stated in the Scope of Work field and constitute an integral part of this Agreement.

VEHICLE DESCRIPTION

PAYMENT TERMS

Client shall pay Service Provider for services performed as set forth below. All charges are due in accordance with the scheduled payment terms unless otherwise agreed in writing.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least Notice Period (days): days prior to the effective date of termination. Either party may terminate for material breach if such breach is not cured within thirty (30) days after written notice of breach.

INSURANCE, LIABILITY AND INDEMNIFICATION

Service Provider shall at all times maintain, at its expense, commercial automobile liability insurance and workers' compensation coverage as required by law. Minimum insurance required: . Evidence of insurance shall be furnished to Client upon request.

Each party shall be responsible for its own acts and omissions. Service Provider shall indemnify, defend, and hold harmless Client from and against any and all claims, liabilities, losses and expenses (including reasonable attorney fees) arising from Service Provider's negligent performance of services or willful misconduct. Client shall indemnify Service Provider for claims arising from Client's failure to disclose material facts related to the vehicle or its use.

CONFIDENTIALITY

"Confidential Information" means all non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. Each receiving party shall hold Confidential Information in strict confidence, shall not use it except as necessary to perform under this Agreement, and shall not disclose it to third parties without prior written consent. Confidentiality obligations do not apply to information that is (i) in the public domain through no fault of the receiving party; (ii) already known to the receiving party without restriction; (iii) rightfully received from a third party without breach; or (iv) independently developed by the receiving party without use of the disclosing party's Confidential Information. These obligations shall survive termination of this Agreement for a period of three (3) years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law rules. Venue for any dispute arising out of this Agreement shall be in the state or federal courts located within that state, and the parties consent to personal jurisdiction in such courts.

ENTIRE AGREEMENT

This Agreement, including all schedules and written attachments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices or other communications required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by certified mail, or sent by recognized overnight courier to the addresses below or to such other address as either party may designate in writing.

ADDITIONAL PROVISIONS

Inspection and Acceptance: Client shall inspect all completed work within a commercially reasonable time. Acceptance of work occurs when Client signs final delivery documents or fails to provide written rejection within seven (7) days after notice of completion. Parts and materials purchased by Service Provider and authorized by Client shall become the property of Client upon payment in full.

Subcontracting: Service Provider may engage subcontractors to perform portions of the work, provided Service Provider remains responsible for subcontractor performance and compliance with this Agreement.
