WHEREAS, Client desires to engage Service Provider to perform the services at the location stated below, under the terms and conditions set forth in this Service Work Ticket & Agreement; and

WHEREAS, the parties intend this document to serve both as an authorization for work and as a binding agreement between the parties governing the performance, payment, and related obligations.

The Service Provider shall perform the services described below in a workmanlike manner and in accordance with industry standards. Any changes to the Scope of Work must be documented and signed by both parties.

Payment Terms

Client shall pay Service Provider in accordance with the following terms. Time is of the essence for all payments. Service Provider may suspend performance for nonpayment after the notice period set forth below.

Late Payment: If any amount due is not paid within days of invoice, Client shall pay interest at the rate of and reasonable costs of collection, including attorneys' fees.

Term and Termination

This Agreement commences on the Start Date and continues until completion of the Scope of Work unless earlier terminated as provided below.

Either party may terminate for material breach by the other party that is not cured within days written notice. Upon termination, Client shall pay for all services performed and materials supplied up to the termination date.

Confidentiality

Each party shall hold in confidence and not disclose to third parties any nonpublic information obtained from the other party in connection with this Agreement, except as required by law or as necessary for performance. Confidential information does not include information that is publicly known or independently developed.

Warranties & Limitation of Liability

Service Provider warrants that services will be performed in a competent and professional manner for a period of from completion. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF SERVICE PROVIDER FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY CLIENT UNDER THIS TICKET.

This Agreement shall be governed by and construed in accordance with the laws of: . The parties shall attempt in good faith to resolve disputes promptly by negotiation.
