This Session Services Contract ("Agreement") is made and entered into as of by and between:

Recitals

WHEREAS, Service Provider is engaged in the business of providing professional session services, including but not limited to coaching, consultation, therapeutic, instructional, or similar sessions (collectively "Sessions"), and has the skill and experience necessary to perform the Services described herein; and

WHEREAS, Client desires to retain Service Provider to perform Sessions under the terms and conditions set forth in this Agreement and Service Provider is willing to provide such Services on those terms; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to such Services in writing.

Scope of Services

Service Provider will provide the following description of Services:

Payment Terms

Client shall pay Service Provider the compensation described below in consideration for the Services.

Late payments shall incur a late fee of per month on the outstanding balance, or the maximum lawful amount, whichever is less. Client is responsible for any collection costs, including reasonable attorneys' fees, incurred by Service Provider to enforce payment.

Term and Termination

The term of this Agreement begins on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least days prior to termination. Either party may terminate immediately for material breach that remains uncured for a period of 10 days after written notice of such breach.

Cancellation and Rescheduling

Client must provide at least 24 hours' notice to cancel or reschedule an individual Session. Late cancellations or no-shows shall be charged at unless otherwise agreed in writing.

Confidentiality

Each party agrees to keep confidential all nonpublic information disclosed by the other party in connection with the Sessions and to use such information only for purposes of performing its obligations under this Agreement. This obligation shall continue for years following termination, except as required by law or court order.

Intellectual Property

All materials, methodologies, tools, and intellectual property developed by Service Provider prior to or independently of this Agreement remain the sole property of Service Provider. Unless expressly agreed in writing, Service Provider grants Client a limited, nontransferable license to use deliverables solely for Client's internal purposes.

Limitation of Liability and Indemnification

Service Provider's liability arising out of or related to this Agreement shall be limited to direct damages not to exceed the total fees paid by Client under this Agreement during the twelve months preceding the claim. In no event shall Service Provider be liable for consequential, incidental, special, or punitive damages. Client shall indemnify and hold Service Provider harmless from and against any third-party claims arising from Client's breach of this Agreement or Client's use of the Services in violation of applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification must be made in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or successor in interest.
