What the Settlement Agreement Term Sheet Is

A Settlement Agreement Term Sheet is a concise, written summary that captures the essential deal terms parties intend to include in a final settlement agreement. It typically records the parties, the dispute or claim being resolved, settlement amount or consideration, timing and conditions for payment, releases and mutual covenants, confidentiality or non-disparagement provisions, and any required actions before the full agreement is executed. The term sheet may be binding on certain narrow points or entirely non-binding, depending on language and the parties' intent, and it is used to guide counsel and negotiators toward a final contract.

Why a Term Sheet Matters for Settlements

A term sheet clarifies key deal points early, reduces negotiation time, and helps counsel identify legal issues before drafting a full agreement. It preserves bargaining positions while creating a reference for drafting and for internal approvals.

Why a Term Sheet Matters for Settlements

Who Typically Prepares and Reviews a Term Sheet

Term sheets are used by attorneys, claims managers, corporate counsel, and parties negotiating settlements to align on key points before final drafting.

  • Plaintiff counsel and claimants: summarize settlement offers and preserve negotiation history for draft agreement preparation.
  • Defense counsel and insurers: record reservation of rights, payment mechanics, and release scope for internal approval.
  • In-house legal and business teams: use the term sheet to obtain finance sign-off and coordinate payment and tax reporting.

Use the term sheet as a control document for approvals, cost estimates, and to coordinate signatures and supporting documents.

Core Elements to Include in a Professional Term Sheet

A well-drafted term sheet contains the minimum details needed to convert a negotiated outcome into a binding settlement: who, what, when, how, and any conditions precedent.

Parties

Identify each contracting party by full legal name and role to avoid ambiguity when drafting the final agreement.

Recitals

Briefly describe the underlying dispute, claim or transaction so the settlement context is clear for counsel and approvers.

Consideration

State payment amounts, payment schedule, method, and any offsets, taxes, or withholding responsibilities.

Releases

Define the scope of releases and any carved-out claims or parties to remain excluded from the release language.

Conditions

List any conditions precedent such as board approvals, escrow, dismissal of litigation, or regulatory filings.

Confidentiality

Note whether settlement terms are confidential and whether a separate confidentiality agreement or public statement is required.

Step-by-Step: Completing a Settlement Term Sheet

Follow a structured sequence to reduce errors and speed final agreement drafting.

  • 01
Gather documents: Collect pleadings, claim details, and authority documents before drafting.
  • 02
Draft core terms: Enter parties, amounts, releases, and conditions in plain, precise language.
  • 03
Circulate for review: Share the draft with counsel, finance, and any approving officers for redlines.
  • 04
Record approvals: Document required internal approvals and prepare for signature and closing steps.

Typical Workflow from Term Sheet to Final Settlement

A clear workflow reduces closing time and prevents last-minute disputes about what was agreed.

  • Negotiation: Parties negotiate principal economics and non-economic terms.
  • Term sheet: Draft short-form memo capturing agreed terms for approvals.
  • Drafting: Counsel converts the term sheet into a full settlement agreement and exhibits.
  • Execution: Signatures, payment, dismissals, and any filings complete the process.

Configuring an Online Signing Workflow

Set up roles, authentication, and routing before sending the term sheet for electronic signature.

Field Configuration
Signer Order Sequential or parallel routing depending on approvals required
Authentication Email link, SMS code, or advanced ID verification for higher assurance
Reminders Automated reminders and expiration windows for outstanding signers
Completion Certificate Attach audit trail and signed PDF as final evidence of execution

Digital Signing and Submission Requirements

Use a platform that supports secure eSignatures, audit trails, and configurable signer authentication.

  • File formats: PDF, DOCX accepted
  • Integrations: Connectors include Salesforce, NetSuite, Google Workspace
  • Security: TLS in transit, AES-256 at rest

Ensure the selected solution provides retention, export options, and a clear audit trail to support enforceability and recordkeeping.

Common Timing Considerations and Deadlines

Term sheets often impose specific windows for performance, dismissal, and payment; track these dates carefully to avoid breaches or missed filings.

Payment due date:

Enter exact MM/DD/YYYY due dates to trigger performance and interest calculations.

Dismissal deadline:

Specify when litigation will be dismissed with prejudice upon receipt of payment.

Escrow release:

State the conditions and timing for escrow release or lien removal.

Tax reporting:

Indicate who issues 1099s and any withholding obligations.

Document retention:

Note how long signed records must be kept for audit or compliance.

Key Milestones from Agreement to Close

Sequence the milestone events so parties know the order and dependencies required to effect settlement.

01

Term Sheet Signed

Parties acknowledge agreed economics and set the drafting timeline.

02

Agreement Drafted

Counsel prepares full settlement documents with exhibits and releases.

03

Approvals Obtained

Internal sign-offs, insurer consent, or board approvals are secured.

04

Execution and Payment

Parties sign formally and the settlement payment or escrow transfer occurs.

Frequent Mistakes to Avoid When Preparing a Term Sheet

  • Using vague consideration language that leaves payment obligations unclear and triggers disputes.
  • Failing to identify signatory authority which delays execution while verifying corporate power.
  • Omitting conditions precedent such as court approvals, creating unintended immediate obligations.
  • Assuming confidentiality exists without explicit terms or separate nondisclosure provisions.

Consequences of Inaccurate or Incomplete Term Sheets

Breach risk: Ambiguous terms can lead to breach claims and additional litigation.
Tax exposure: Incorrect tax treatment can trigger IRS reporting penalties under IRC §6721.
Delay costs: Missing approvals or authority increases time and legal fees.
Enforceability gaps: Non-binding wording may prevent enforcement of key remedies.
Confidentiality failure: Public disclosure can breach confidentiality and damage reputation.
Escrow disputes: Poor escrow instructions create funds release conflicts.
