What a Sewer Services Agreement Covers

A Sewer Services Agreement is a written contract that defines the rights and obligations between a service provider (municipal utility, treatment operator, or private contractor) and a property owner or developer for sewer collection, treatment, maintenance, or connection services. Typical terms include scope of work, service area, connection and inspection procedures, service rates, billing and payment terms, insurance requirements, permitting responsibilities, duration and renewal, and dispute resolution. The agreement allocates operational risk, sets performance expectations, and creates an auditable record used for enforcement, permitting, and financial accounting.

Why a Clear Sewer Services Agreement Matters

A well-drafted agreement reduces operational disputes, clarifies who pays for installation and maintenance, ensures regulatory compliance, and documents service levels and liability. It also protects both parties by specifying warranty, indemnity, and insurance obligations while establishing remedies and timelines for defaults.

Why a Clear Sewer Services Agreement Matters

Who Typically Prepares and Signs This Agreement

Common participants include municipal utilities, private contractors, developers, property owners, and homeowners associations involved in sewer service delivery.

  • Municipal utilities and public works departments — negotiate service areas, rates, permit responsibilities, and long‑term maintenance obligations with developers and owners.
  • Private contractors and operators — responsible for construction, lift station maintenance, or treatment and require clear indemnity and insurance terms.
  • Property owners, developers, and HOAs — sign to accept connection conditions, one‑time hookup fees, and recurring service charges.

Each signer should confirm corporate authority or municipal delegation before execution to avoid invalid signatures or later challenges.

Essential Clauses to Include

A professional Sewer Services Agreement contains clauses that assign responsibilities, define payments and service levels, and address compliance, risk allocation, and termination.

Parties & Recitals

Identify legal names and roles of all parties and provide factual background describing service area, prior approvals, and purpose of the agreement.

Scope of Services

Specify exactly what the provider will perform (e.g., connection, inspection, routine maintenance, emergency response), deliverables, and performance standards or response times.

Payment & Rates

State connection fees, recurring service charges, invoicing cadence, late fee calculation, and any rate‑adjustment formula tied to CPI or regulatory approvals.

Permits & Compliance

Assign responsibility for securing permits, meeting discharge limits, and complying with federal, state, and local laws, including reporting obligations to regulatory agencies.

Insurance & Indemnity

Detail insurance types and limits, certificate requirements, indemnification scope, and when notice of claims must be given to the other party.

Termination & Remedies

Outline events of default, cure periods, termination rights, payment on termination, and dispute resolution (mediation, arbitration, or courts of the designated jurisdiction).

Stepwise Process to Complete the Agreement

Follow these sequential steps to prepare, review, and sign the Sewer Services Agreement correctly and with required attachments.

How to Configure an Online Signing Workflow

Set up a clear digital workflow so each signer receives the right fields and copies are retained securely with an audit trail.

Typical Routing and Submission Flow

A standard routing sequence moves the draft from preparer to reviewers, then to authorized signers, and finally to records and permitting offices.

  • Upload: Sender uploads agreement and attachments
  • Place Fields: Assign signature, initials, date, and conditional fields
  • Send: Distribute to signers in the configured order
  • Archive: Store signed PDF and audit trail in records system

Digital Signing and Technical Requirements

Choose a platform that supports PDF and DOCX, audit trails, identity verification, and secure storage to maintain evidentiary value.

  • File Formats: PDF and DOCX accepted
  • Integrations: Connects with CRM, ERP, cloud storage
  • Signer Authentication: Email, SMS OTP, or KBA

Confirm platform compliance with ESIGN and UETA and any industry-specific standards (e.g., HIPAA for health‑related projects) before eSubmission.

Common Preparation Errors to Avoid

  • Failing to attach required permits and inspection schedules causes approval delays and can invalidate obligations tied to regulatory compliance.
  • Using ambiguous payment language (for example, 'reasonable rate') invites differing interpretations and can complicate enforcement and collections.
  • Not verifying signer authority (corporate resolution or municipal delegation) often results in rejected or voided agreements when challenged.
