SHARE ASSIGNMENT AGREEMENT

This Share Assignment Agreement (the Agreement) is made effective as of by and between the Assignor and the Assignee named above. CONSIDERATION

As consideration for the assignment of the Assigned Shares, the Assignee shall pay to the Assignor the purchase price of (Purchase Price) in accordance with the payment terms set forth below.

CLOSING

The closing of the assignment (Closing) shall occur on or before or on such other date as the parties may agree in writing. At Closing, the Assignor shall deliver to the Assignee duly endorsed share certificate(s), a duly executed stock transfer form and any required resignation or consent documents; the Assignee shall deliver the Purchase Price as provided above.

REPRESENTATIONS AND WARRANTIES

Assignor represents and warrants to the Assignee that, as of the Effective Date and the Closing Date: (a) the Assignor is the sole legal and beneficial owner of the Assigned Shares free and clear of all liens, encumbrances, options, claims and rights of others; (b) the Assignor has full power and authority to enter into and perform this Agreement and to assign the Assigned Shares; (c) there are no outstanding agreements, rights of first refusal, preemptive rights, or transfer restrictions preventing the transfer of the Assigned Shares except as disclosed in writing to the Assignee in advance.

Assignee represents and warrants to the Assignor that the Assignee has the requisite power and authority to enter into this Agreement, that no governmental consent is required for the performance of the Assignee's obligations other than those set forth herein, and that the execution and performance of this Agreement will not violate any agreement to which the Assignee is a party.

COVENANTS AND FURTHER ASSURANCES

Each party covenants to execute and deliver such further documents and to take such further actions as may be reasonably necessary to carry out the transactions contemplated by this Agreement, including causing any necessary board or shareholder approvals to be obtained.

INDEMNIFICATION

The Assignor shall indemnify and hold harmless the Assignee from and against all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of any breach of the Assignor's representations, warranties or covenants in this Agreement. The Assignee shall indemnify and hold harmless the Assignor for any breach of the Assignee's representations, warranties or covenants.

CONDITIONS PRECEDENT

The obligations of each party at Closing are subject to the satisfaction or waiver of customary conditions precedent, including delivery of documentary evidence of authority, resignation or consent letters, absence of any injunction or order preventing Closing, and receipt of any required corporate approvals.

TAXES AND WITHHOLDING

Unless otherwise agreed in writing, each party shall be responsible for its own taxes arising from the transaction. The Assignee may withhold amounts required by applicable law from any consideration paid and shall timely remit such amounts to the appropriate authority.

NOTICES

All notices under this Agreement shall be given in writing and delivered to the addresses set forth below or to such other address as a party may designate by notice in accordance with this section.

MISCELLANEOUS

Governing Law: The validity, interpretation and performance of this Agreement shall be governed by the laws of without regard to principles of conflicts of law.

Entire Agreement: This Agreement, together with any exhibits or schedules hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements.
