What a Share Buyback Resolutions Agreement Is

A Share Buyback Resolutions Agreement is a corporate board or shareholder resolution that documents an issuer's authorization to repurchase outstanding shares from holders under specified terms. It records approval of price, quantity, funding source, timeline, and any limitations or shareholder rights affected by the repurchase. The document serves as formal corporate authority for transfers, supports regulatory and accounting records, and provides evidence for tax, audit, and corporate governance reviews. It is typically adopted by the board of directors and retained in corporate minutes and transaction records.

Why a Formal Resolution Matters

A written resolution creates clear corporate authority, documents compliance with bylaws and state corporation law, and supports consistent treatment for accounting and tax purposes. It reduces disputes about authority, establishes the transaction record, and protects directors by showing they acted within approved parameters.

Why a Formal Resolution Matters

Who Typically Prepares and Signs This Agreement

The resolution is primarily prepared by corporate counsel or the corporate secretary and approved by the board of directors; signatories vary by entity type and governance documents.

  • Corporate Secretary prepares draft resolution and records minutes of board approval.
  • Board of Directors adopts resolution and sets repurchase parameters per bylaws.
  • Authorized officers (CEO/CFO) execute closing documents and direct treasury actions.

In practice, counsel drafts the terms, the board adopts the resolution, and authorized officers execute documents needed to complete repurchase transfers and update corporate registers.

Core Elements to Include in a Professional Resolution

A complete Share Buyback Resolutions Agreement lists authority, repurchase scope, price or purchase formula, funding source, timing, and any shareholder rights or restrictions. It should reference applicable corporate charter provisions and attach supporting exhibits.

Authority

Cite board powers, bylaw or charter sections that authorize repurchases and delegate execution to officers.

Scope

Specify maximum aggregate shares, classes covered, and aggregate dollar limits for repurchases.

Pricing

Define fixed price, formula (e.g., VWAP), or conditions triggering offers and purchases.

Funding

Describe source of funds—available cash, financing, or treasury stock—and any borrowing approvals.

Timing

Set effective dates, offer periods, expiration, and any phased repurchase schedule.

Compliance

Include representations on securities law compliance, insider trading windows, and disclosure obligations.

Step-by-Step: Completing and Approving the Resolution

Follow a consistent sequence to prepare, approve, sign, and record the buyback resolution to ensure corporate and regulatory compliance.

  • 01
Draft: Prepare resolution text and attach exhibits with prices and schedules.
  • 02
Legal Review: Have counsel confirm securities and corporate law compliance.
  • 03
Board Approval: Present resolution at a board meeting and obtain majority vote as required.
  • 04
Execute: Authorized officers sign and date; record in corporate minutes.

Typical Digital Workflow Settings

Configure a repeatable workflow for drafting, review, approval, and execution when using an eSignature platform or document management system.

Field Configuration
Draft Template Create reusable resolution template with conditional pricing fields
Reviewer Roles Assign counsel, CFO, and corporate secretary reviewer roles
Approval Order Set signing order: Board chair → Secretary → CFO

How Electronic Completion and Recordkeeping Work

Use an eSignature workflow that captures intent, signer attribution, and a secure audit trail to preserve enforceability and corporate history.

  • Upload Document: Add resolution and exhibits to the signing workspace.
  • Place Fields: Insert signature, date, and initial fields for each signer.
  • Authenticate Signers: Use email, SMS code, or stronger authentication where required.
  • Store Audit Trail: Retain signer IP, timestamp, and action log with the PDF.

Technical and Compliance Considerations for eSigning

Choose a platform that supports audit trails, secure storage, and any required authentication or compliance controls for corporate transactions.

  • Audit Trail: Capture IP and timestamps.
  • Authentication: Support SMS, email, or stronger options.
  • Document Formats: Export to PDF/A for long-term retention.

Common Preparation Pitfalls to Avoid

  • Using informal language or vague pricing formulas that create interpretive disputes during settlement or audit.

  • Neglecting required securities disclosures or insider trading windows when officers or insiders participate in the repurchase.
  • Omitting attachment of exhibits—such as financing commitments or pricing schedules—so the resolution lacks essential operational detail.

Real-World Examples of Using a Buyback Resolution
