What the Share Certificate Request Form Is

The Share Certificate Request Form is a standardized document used by shareholders, transfer agents, and corporate registrars to request issuance, replacement, transfer, or reissuance of stock certificates. The form records shareholder identity, certificate identifiers, class and number of shares, and required supporting documents such as corporate resolutions, power of attorney, or identification. Completed forms create an administrative record that transfer agents and registrars use to update ledgers, issue physical certificates or electronic registrations, and maintain an audit trail for corporate governance and securities compliance.

Why a Proper Request Form Matters

Use a Share Certificate Request Form to document ownership changes, reduce processing errors, and provide a clear audit trail for corporate records and securities transfers.

Why a Proper Request Form Matters

Who Typically Prepares and Submits This Form

Typical users include corporate secretaries, transfer agents, shareholders, and brokers who need formal documentation to issue or replace stock certificates.

  • Corporate secretaries — prepare and approve requests, maintain minute book records and corporate resolutions.
  • Transfer agents — validate certificate numbers, update ledgers, and issue new physical or electronic certificates.
  • Shareholders or brokers — submit requests for issuance, lost certificate reissue, or change of registration.

Identifying the correct requester and attaching required documents reduces rejections and speeds processing by registrars and transfer agents.

Essential Sections to Include on the Form

A professional Share Certificate Request Form groups information into ownership details, certificate identifiers, authorization, supporting documents, delivery instructions, and audit-trail fields for clear processing and recordkeeping.

Ownership Details

Collect the shareholder's full legal name, mailing address, taxpayer ID or EIN if applicable, and beneficial owner designation to ensure accurate registry matching and tax reporting.

Certificate Identifiers

Record the original certificate number, issue date, number of shares, class or series designation, and any CUSIP or registry reference to enable reliable ledger reconciliation.

Authorization

Include a signature block with signer capacity (individual, trustee, officer) and require a corporate resolution or power of attorney when an entity signs on behalf of the shareholder.

Supporting Documents

Request attachments such as government-issued ID, corporate resolution, stock power, or an indemnity bond for lost certificates to satisfy transfer agent requirements.

Delivery Instructions

Provide options for physical mailing address, hold-for-pickup, or electronic delivery and note any fees or expedited shipping instructions to avoid delivery disputes.

Audit Trail

Capture submission date, signer identity, IP address, and disposition notes so the company maintains a tamper-evident record for governance and regulatory review.
