What a Share Issuance Resolution Document Is

A Share Issuance Resolution Document is a corporate record—typically a board or shareholder resolution—authorizing the creation, allocation, or transfer of company shares. It states how many shares are issued, which class or series, the consideration received, any preemptive or restrictive provisions, the effective date, and the corporate authority approving the issuance. The resolution provides the formal basis for updating the corporate charter, stock ledger, share certificates, and any necessary regulatory filings or investor disclosures.

Why a Proper Resolution Matters for Your Corporate Records

A clear, properly executed resolution creates an auditable record that validates share creation or transfer, protects against later ownership disputes, and supports required filings with state or securities authorities. It also documents board or shareholder consent and the terms under which shares were issued.

Why a Proper Resolution Matters for Your Corporate Records

Who Typically Prepares and Relies on This Resolution

Companies and their advisors use share issuance resolutions whenever the board or shareholders take formal action to issue or transfer equity.

  • Corporate officers who prepare minutes and maintain the stock ledger for accuracy and auditability.
  • General counsel, outside counsel, or corporate secretaries who confirm legal authority and coordinate filings.
  • Investors and transfer agents who rely on the resolution to accept and record newly issued or transferred shares.

The document serves internal recordkeeping, investor relations, future due diligence, and compliance with corporate and securities law.

Essential Parts of a Professional Share Issuance Resolution

A complete resolution combines factual details, legal authority citations, and execution elements so it can support corporate records and any required filings.

How a Resolution Differs from a Subscription Agreement

These documents often work together but serve different legal and practical roles in an equity issuance.

Criteria Resolution Subscription Agreement
Purpose authorize issuance record investor commitment
Signatories corporate officers investor(s) and company
Timing before or at issuance at investor purchase
Filing corporate recordkeeping may trigger securities filings

Common Preparation Mistakes to Avoid

  • Failing to document the board quorum and vote, which can render the action procedurally invalid.
  • Entering vague consideration terms like 'good value' without stating cash amounts or clearly described services.
  • Delaying stock ledger updates after issuance, creating gaps in ownership records and possible disputes.
  • Neglecting to check whether the issuance requires a charter amendment or securities filings in specific states.

Risks and Consequences of an Incorrect Resolution

Invalid Issuance: Shares may be void or subject to rescission
Securities Liability: Civil penalties or enforcement risk
Tax Exposure: Unintended taxable events for company or recipient
Ownership Disputes: Title conflicts and investor litigation
Regulatory Fines: Penalties for missed filings
Recordkeeping Gaps: Problems during audits or M&A due diligence

Who Signs and Certifies the Resolution

Corporate Secretary

The corporate secretary typically attests to the resolution, certifies meeting minutes, and updates the stock ledger. Their certification confirms the corporate process and preserves evidence for future audits or inquiries.

Chair or CEO

An authorized officer such as the board chair or CEO usually signs to execute the resolution. That signature embodies the board's approval and authorizes officers to carry out issuance tasks.

Distributing the Executed Resolution Securely

Ensure recipients receive verifiable signed copies and maintain an immutable audit trail for compliance and due diligence.

  • Internal Records: Store signed PDF in secured minute book
  • External Parties: Provide signed copies to investors and transfer agents
  • File Formats: Use PDF/A or DOCX for long-term accessibility
