6. CLOSING AND CONDITIONS PRECEDENT

6.1 Closing. The closing of the issuance pursuant to this Amendment (the "Closing") shall occur on the Effective Date upon satisfaction or waiver of all conditions set forth herein, including delivery of consideration and corporate approvals.

6.2 Conditions Precedent. Conditions to the obligations of the parties at Closing include: (a) accuracy of representations and warranties; (b) receipt by the Company of the consideration in the form agreed; and (c) delivery by the Company of duly executed Share Certificates and appropriate entries in the Stock Ledger.

7. NOTICES

All notices, requests, consents and other communications required or permitted under this Amendment shall be in writing and delivered to the addresses set forth above by personal delivery, nationally recognized overnight courier, or certified mail, return receipt requested, and shall be effective upon receipt.

8. MISCELLANEOUS

Governing Law: This Amendment shall be governed by and construed in accordance with the laws of the jurisdiction of incorporation of the Company identified above, without regard to conflict-of-law principles.

Entire Agreement: This Amendment, together with the Company’s Certificate of Incorporation, Bylaws and any agreements expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and agreements relating thereto.

Severability: If any provision of this Amendment is held to be invalid, illegal or unenforceable in any respect, the remaining provisions shall remain in full force and effect and the parties shall endeavor in good faith to substitute for the invalid provision a valid provision that achieves, to the extent possible, the original intent of the parties.

Amendments and Waivers: This Amendment may be amended, modified or supplemented only by a written instrument executed by the Company and the Shareholder. No failure or delay by any party in exercising any right shall operate as a waiver thereof, and a single or partial exercise of any right shall not preclude other or further exercises of that right.
