Either party may terminate this Agreement for cause if the other party materially breaches any representation, warranty or obligation and fails to cure such breach within the notice period set forth above.

Confidentiality

The Recipient shall keep confidential all non-public commercial, financial and technical information of the Company disclosed in connection with this issuance. Confidential information shall not include information that is or becomes publicly known through no breach by the Recipient, is lawfully received from a third party, or is required to be disclosed by law, provided that the Recipient gives the Company prompt notice and cooperates in any protective measures.

The obligations in this section shall survive termination or expiration of this Agreement for a period of three (3) years, or for as long as the information remains trade secret under applicable law, whichever is longer.

Representations and Warranties

The Company represents and warrants that (a) it has full corporate power and authority to enter into this Agreement and to issue the shares described herein, (b) the shares upon issuance will be duly authorized, validly issued, fully paid and non-assessable, and (c) the issuance of shares has been authorized by all necessary corporate action.

The Recipient represents and warrants that it has full power to accept the shares and that the consideration provided, if any, is not derived from illegal activities. The Recipient further represents that it will comply with applicable securities laws and any applicable holding period or legend requirements.

Governing Law

Entire Agreement; Amendment
