Subscription and Payment Procedures

Subscription shall be effected by Delivering a duly executed Acceptance of Offer and payment of the Total Consideration in immediately available funds to the account designated by the Issuer. Unless otherwise agreed in writing by the Issuer, payment is due upon acceptance.

Conditions to Closing

The obligations of the Issuer and Subscriber to close the purchase and sale of the Shares are subject to the following conditions precedent:

(a) Receipt by the Issuer of payment of the Total Consideration in cleared funds; (b) Delivery by the Subscriber of executed subscription documentation and required officer certifications; (c) Absence of any statute, order or injunction preventing the issuance of Shares; and (d) Compliance with any applicable transfer restrictions, securities laws and corporate approvals required by the Issuer's organizational documents.

Representations and Warranties

The Issuer represents and warrants that it is duly organized and has authority to issue the Shares; the Shares, when issued and paid for in accordance with the terms of this Offer, will be validly issued, fully paid and nonassessable; and the issuance of the Shares will not violate any agreement to which the Issuer is a party.

The Subscriber represents and warrants that Subscriber has full power and authority to execute and deliver this Offer and to perform its obligations hereunder, that the acquisition of the Shares is for investment for Subscriber's own account and not with a view to distribution, and that Subscriber has sufficient knowledge and experience in financial and business matters to evaluate the merits and risks of acquiring the Shares.

Transfer Restrictions; Legends

The Shares shall be subject to restrictions on transfer imposed by applicable securities laws and by the Issuer's organizational documents. Certificates or book-entry records evidencing the Shares shall bear such stop-transfer instructions and legend(s) as required by applicable law and by the Issuer. Subscriber agrees not to sell, transfer or otherwise dispose of the Shares except in compliance with such restrictions.

Tax Withholding; Indemnity

Issuer may be required to withhold amounts for taxes in accordance with applicable law. Subscriber shall provide any certificates, forms or information reasonably requested by the Issuer to determine whether withholding is required. Subscriber agrees to indemnify and hold harmless the Issuer from any claims, liabilities or expenses arising from Subscriber's failure to satisfy applicable tax obligations or to provide required documentation.
