What a Share Sale Resolution Agreement Is

A Share Sale Resolution Agreement is a formal corporate record documenting board or shareholder approval for the sale or transfer of company shares. It identifies the parties, share class, number of shares, sale price, closing conditions, and effective date, and typically authorizes officers to execute transfer documents and update the shareholder register. The resolution becomes part of the company minute book and, when properly executed, evidences corporate consent needed for stock transfer, escrow, tax reporting, and downstream corporate actions.

Why this resolution matters for buyers, sellers, and the company

The Share Sale Resolution Agreement creates clear corporate authorization and an evidentiary record that supports transfer validity, enforces representations, and allocates post-closing responsibilities. For U.S. transactions it helps satisfy ESIGN/UETA standards for electronic records and provides a defensible chain of approval under corporate law.

Why this resolution matters for buyers, sellers, and the company

Who commonly prepares and signs these resolutions

Typical creators and signers include corporate officers, in-house counsel, outside counsel, escrow agents, and transfer agents.

  • Board of Directors — Adopt and record sale authorization at a board meeting, specifying officer delegations and conditions.
  • Selling Shareholders — Confirm identity, share schedule, representations, and acceptance of consideration; often provide signature and transfer instructions.
  • Buyers and Agents — Rely on the resolution to instruct transfer agents, fund escrow, and update capitalization records.

The resolution aligns internal approvals with external transfer mechanics so corporate records, tax reporting, and title to shares are consistent.

Core elements to include in a professional resolution

A complete Share Sale Resolution Agreement groups corporate authorization, deal terms, conditions precedent, signatures, and delegations so the transfer can be executed and recorded without ambiguity.

Resolution Title

Clear heading identifying the corporate body approving the sale and the specific transaction being authorized.

Parties

Full legal names and entity types of seller(s), buyer(s), and any assignees or escrow parties referenced in the transaction.

Share Details

Class, certificate numbers (if any), and exact number of shares to be transferred, to avoid mismatches with the share register.

Consideration

Exact monetary amount, payment method, or non-cash consideration description and any escrow or holdback mechanics.

Conditions

Material conditions precedent, approvals required, required consents, and delivery obligations before closing occurs.

Where to send or file the executed resolution

Routing depends on corporate practice and whether third parties (transfer agents, escrow) require originals or certified copies.

  • Corporate Records: Place an executed copy in the company minute book.
  • Transfer Agent: Send signed stock power and certificate as required.
  • Escrow Agent: Deliver executed resolution if escrow conditions reference it.
  • Buyer and Seller: Provide each party with a countersigned copy for their files.

Digital signing and e-submission considerations

Confirm the eSignature workflow supports signer attribution, tamper-evident PDFs, and reliable audit trails before using it for corporate resolutions.

  • Authentication: Email, SMS, or KBA
  • Document Outputs: PDF with audit trail
  • Integration: Connects to CRM and storage

When records must be filed with transfer agents or regulators, keep original signed copies or notarized acknowledgements per recipient requirements.

Common preparation errors that slow or nullify transfers

  • Using inconsistent party names between the resolution, stock certificate, and transfer power leads transfer agents to refuse processing.
  • Leaving effective dates blank or using ambiguous phrasing creates disputes about when ownership actually changed for tax purposes.
  • Failing to include explicit officer authorization prevents signatory officers from lawfully executing transfer documents on behalf of the corporation.
  • Omitting precise share identifiers or certificate numbers produces reconciliation problems with the shareholder register and delays closing.
