REPRESENTATIONS AND WARRANTIES

A. Subscriber

The Subscriber represents and warrants to the Company that, as of the Effective Date and the Closing Date: (i) the Subscriber has full power and authority to enter into this Agreement; (ii) the execution and performance will not conflict with any agreements or law; (iii) the Subscriber is acquiring the Shares for investment purposes and not with a view to distribution; and (iv) all information provided to the Company is true and complete in all material respects.
