SHARED USE AGREEMENT

This Shared Use Agreement ("Agreement") is entered into by and between:

RECITALS

WHEREAS, Owner is the lawful owner or lawful controller of the premises, facility, equipment, or other asset described as: (the "Shared Asset"); and

WHEREAS, User desires to obtain limited rights to use the Shared Asset for the purpose(s) set forth herein, and Owner is willing to permit such use on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to allocate responsibilities, payment, scheduling and risk relating to the shared use of the Shared Asset.

SCOPE OF USE

The Owner grants User a non-exclusive, revocable license to use the Shared Asset solely for the following permitted uses and activities. User shall not use the Shared Asset for any other purpose without the Owner's prior written consent.

PAYMENT TERMS

In consideration for the rights granted under this Agreement, User shall pay Owner as follows:

If any payment is not received by Owner within days after its due date, User shall pay interest on the overdue amount at the lesser of (a) or (b) the maximum rate permitted by law.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach by the other party that remains uncured for days after written notice of such breach.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party shall: (a) protect Confidential Information of the other party using at least the same degree of care it uses to protect its own confidential information but in no event less than a reasonable degree of care; (b) use Confidential Information only for the purposes of performing obligations under this Agreement; and (c) not disclose Confidential Information to any third party except as permitted in this Agreement.

Upon termination or expiration of this Agreement, the receiving party shall, at the disclosing party's option, promptly return or destroy all materials containing Confidential Information and certify destruction where requested.

INSURANCE, LIABILITY AND INDEMNITY

User shall maintain, at User's expense, insurance meeting the coverages reasonably required by Owner and adequate to cover liability arising out of the User's use of the Shared Asset. Minimum coverage: . Owner shall be named as an additional insured where applicable.

Each party shall indemnify, defend and hold harmless the other party and its officers, directors and employees from and against any third-party claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligence or willful misconduct in performing this Agreement.

MAINTENANCE, REPAIRS AND SCHEDULING

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.
